Use Permits and Other Approvals. Seller has obtained all licenses, permits, approvals, easements, and rights of way required from all governmental authorities having jurisdiction over the Properties or from private parties for the normal use and operation of the Properties and to ensure free and unimpeded vehicular and pedestrian ingress to and egress from the Properties as required to permit the normal intended usage of the Properties. Seller has materially complied with all licenses and permits and has not received any notice that any licenses or permits will not be renewed upon expiration, or of any material conditions which will be imposed in order to receive any renewal.

To the best of Seller's knowledge, without any duty to investigate, Seller has obtained all licenses, permits, approvals, easements and rights of way, including proof of dedication, required from all governmental authorities having jurisdiction over the Property or from private parties for the normal use and operation of the Property and to ensure free and unimpeded vehicular and pedestrian ingress to and egress from the Property as required to permit the normal intended usage of the Property by the tenants thereof, their invitees and customers.
Use Permits and Other Approvals. To Seller's actual knowledge, all licenses, permits, approvals and easements and rights of way, including proof of dedication, are all in full force and effect.

Neither Seller nor, to Seller's Knowledge, GWC, as the prior owner of the Hotel, has received written notice from any Governmental Authority stating that (i) the Licenses and Permits necessary for the operation of the Hotel as it is currently being operated are not in full force and effect, or (ii) there is any uncured violation of any such Licenses and Permits. To Seller's Knowledge, there is no violation of any License and Permit that would materially and adversely affect the operation of the Hotel. To Seller's Knowledge, there are no licenses or permits issued by Governmental Authorities necessary to operate the Hotel as currently operated other than the Licenses and Permits and Liquor License

Transferor or Tenant has ------------------------------- obtained all licenses, permits, approvals, easements and rights of way required from all governmental authorities having jurisdiction over the Property or from private parties for the intended normal use and operation of the Property and to ensure free and unimpeded vehicular and pedestrian ingress to and egress from the Property as required to permit the present usage of the Property by the occupants and tenants thereof, their invitees, licensees and customers. No violations have been recorded in respect of any such licenses, permits or approvals and no proceeding is pending or, to the knowledge of Transferor or Tenant, threatened to revoke or limit any of such licenses, permits, approvals, easements or rights of way. Transferor or Tenant, as applicable, is in compliance with the terms of all such licenses, permits and approvals applicable to it.

No violations have been recorded in respect of any such licenses, permits or approvals and no proceeding is pending, or to the knowledge of Seller, threatened, to revoke or limit any of such licenses, permits, approvals, easements or rights of way. Target is in compliance with all such licenses, permits and approvals.
