Use of Contribution. The Organization shall use the Contribution exclusively for the purpose of arranging International Lungekræftdag 17th November 2022 in Copenhagen (the “Purpose”). Without prejudice to the generality of the foregoing, the Organization shall not use the Contribution for the provision of any hospitality, entertainment and/or leisure time programmes and/or subsistence to any healthcare professionals, appropriate administrative staff and/or members and appropriate staff of the Organization unless and to the extent permitted by applicable laws, regulations, codes and guidelines (including, without limitation, the IFPMA and EFPIA codes and any corresponding, equivalent or similar applicable national codes such as – but not limited to – the Danish Ethical Rules for Promotion of Medicinal Products towards Healthcare Professionals (the “ENLI Code”) and the Danish Ethical Rules for Collaboration between Patient Groups, etc. and the Pharmaceutical Industry (the “Patient Association Code”)) (the “Applicable Laws”).
Use of Contribution. Without prejudice to the generality of the foregoing, the Organization shall not use the Contribution for the provision of any hospitality, entertainment and/or leisure time programmes and/or subsistence to any healthcare professionals, appropriate administrative staff and/or members and appropriate staff of the Organization unless and to the extent permitted by applicable laws, regulations, codes and guidelines (including, without limitation, the IFPMA and EFPIA codes and any corresponding, equivalent or similar applicable national codes such as – but not limited to – the Danish Ethical Rules for Promotion of Medicinal Products towards Healthcare Professionals (the “ENLI Code”) and the Danish Ethical Rules for Collaboration between Patient Groups, etc. and the Pharmaceutical Industry (the “Patient Association Code”)) (the “Applicable Laws”).

Use of Contribution. The Contribution shall be paid, used and allocated as follows: (i) Fifty Thousand Dollars ($50,000.00) shall be retained by the Company to be used for the certain capital improvements and repairs to the Property that have previously been agreed upon by JTL and Paladin; (ii) an additional Fifty Thousand Dollars ($50,000.00) be used to fund the closing costs of the Company contemplated by Section 2.5(a) and any additional closing cost for the transaction contemplated by this Agreement and agreed to in writing by Paladin, with any surplus to be retained by the Company for working capital needs, and (iii) the remaining Nine Hundred Fifty Thousand Dollars ($950,000.00) shall be distributed to JTL.

The Organization shall use the Contribution exclusively for the purpose of a folder about CTCL for members and hospital departments and a webinar for the members with the theme lymphoma and sub types of lymphomas with information of the many kinds of lymphomas that exist and that some are in the beginning a skin affected lymphoma (as CTCL) (the “Purpose”). Without prejudice to the generality of the foregoing, the Organization shall not use the Contribution for the provision of any hospitality, entertainment and/or leisure time programmes and/or subsistence to any healthcare professionals, appropriate administrative staff and/or members and appropriate staff of the Organization unless and to the extent permitted by applicable laws, regulations, codes and guidelines (including, without limitation, the IFPMA and EFPIA codes and any corresponding, equivalent or similar applicable national codes such as – but not limited to – the Danish Ethical Rules for Promotion of Medicinal Products towards Healthcare Professionals (the “ENLI Code”) and the Danish Ethical Rules for Collaboration between Patient Groups, etc. and the Pharmaceutical Industry (the “Patient Association Code”)) (the “Applicable Laws”).
Use of Contribution. The RECIPIENT shall use CONTRIBUTION solely for FACILITY operating costs and in accordance with procedures, processes and metrics that are geared toward the overall health of clients and the transition of clients to permanent housing.

Without prejudice to the generality of the foregoing, the Organisation shall not use the Contribution for the provision of any hospitality, entertainment and/or leisure time programmes and/or subsistence to any healthcare professionals, appropriate administrative staff and/or members and appropriate staff of the Organisation unless and to the extent permitted by applicable laws, regulations, codes and guidelines (including, without limitation, the IFPMA and EFPIA codes and any corresponding, equivalent or similar applicable national codes, such as the AIFP Ethical Code) (the “Applicable Laws”). 1.2

Without prejudice to the generality of the foregoing, the Organization shall not use the Contribution for the provision of any hospitality, entertainment and/or leisure time programmes and/or subsistence to any healthcare professionals, appropriate administrative staff and/or members and appropriate staff of the Organization unless and to the extent permitted by applicable laws, regulations, codes and guidelines (including, without limitation, the IFPMA and EFPIA codes and any corresponding, equivalent or similar applicable national codes such as – but not limited to – the Danish Ethical Rules for Promotion of Medicinal Products towards Healthcare Professionals (the “ENLI Code”) and the Danish Ethical Rules for Collaboration between Patient Groups, etc. and the Pharmaceutical Industry (the “Patient Association Code”)) (the “Applicable Laws”).
