USACE Suspension or Reduction of Payments for Performance Reasons. In accordance with the terms of the USACE Permit, the USACE may conduct periodic site visits and/or other evaluations of the Preserve in order to monitor the progress and effectiveness of Land Management Activities performed by the Recipient. If at any time the USACE determines that the Land Management Activities are not being performed in a satisfactory manner (including, without limitation, that the Land Management Activities are not being performed in accordance with the Long‐Term Management Plan, or applicable laws or regulations), the USACE may notify Recipient, Permittee, and Foundation of the failure of Recipient to implement the Land Management Activities in accordance with the Long‐Term Management Plan (hereinafter a “Non‐Compliance Notice”). Upon receipt of a Non‐Compliance Notice from the USACE, the Foundation shall suspend or reduce Endowment Payments to Recipient in accordance with the terms of the Non‐Compliance Notice until the Recipient, Permittee, and Foundation have received a subsequent written notice from the USACE that the concerns giving rise to the Non‐Compliance Notice received from the USACE have been resolved. Thereafter, Endowment Payments to Recipient may continue in accordance with this Agreement. The Foundation shall be entitled to rely on any Non‐Compliance Notice received from the USACE and shall be obligated to follow the terms contained therein. The Foundation shall not be liable in any manner to the Recipient, Permittee, or to any other entities or persons by virtue of following the instruction of the USACE contained in any Non‐ Compliance Notice received from the USACE.

  • TERMINATION OR SUSPENSION OF SERVICES Return of Data The Contractor shall return Data in a format agreed upon within the Authorized User Agreement or as agreed to with the Authorized User. This can, if specified within the Authorized User Agreement, be carried out by providing an application programmable interface or other such efficient electronic tools. The Contractor must certify that all Data has been removed from its system and removed from backups within timeframes established in the Authorized User Agreement or as agreed to with the Authorized User. Suspension of Services During any period of suspension of service, the Authorized User shall have full access to all Data at no charge. This can, if specified within the Authorized User Agreement, be carried out by providing an application programmable interface or other such efficient electronic tools. The Contractor shall not take any action to erase and/or withhold any Authorized User Data, except as directed by the Authorized User. Expiration or Termination of Services Upon expiration or termination of an Authorized User Agreement, the Authorized User shall have full access to all Data for a period of 60 calendar days. Unless noted in the original Authorized User Agreement, this period will be covered at no charge. This can, if specified within the Authorized User Agreement, be carried out by providing application programmable interface or other such efficient electronic tools. During this period, the Contractor shall not take any action to erase and/or withhold any Data, except as directed by the Authorized User.   • Criteria for Performance Assessment A. A teacher’s performance shall be assessed based on the criteria set forth in the evaluation instrument, Appendix D.

  • Service Termination, Cancellation, or Suspension If you wish to cancel the Service, you may contact us as set forth in Section 6 of the General Terms above. Any payment(s) that have begun processing before the requested cancellation date will be processed by us.   • TEN TERMINATION OR SUSPENSION 10.1. CONTRACTOR shall be considered in material default of this Agreement and such default will be considered cause for OWNER to terminate this Agreement, in whole or in part, as further set forth in this section, for any of the following reasons: (a) failure to begin work under the Agreement within the times specified under the Notice(s) to Proceed, or (b) failure to properly and timely perform the services to be provided hereunder or as directed by OWNER, or (c) the bankruptcy or insolvency or a general assignment for the benefit of creditors by CONTRACTOR or by any of CONTRACTOR's principals, officers or directors, or (d) failure to obey laws, ordinances, regulations or other codes of conduct, or (e) failure to perform or abide by the terms or spirit of this Agreement, or (f) for any other just cause. The OWNER may so terminate this Agreement, in whole or in part, by giving the CONTRACTOR seven (7) calendar day’s written notice.

  • Suspension of Payments This Grant Agreement may be subject to suspension of payments or termination, or both if the State determines that:

  • Consideration for Performance The consideration to be paid to the Contractor under this Agreement will be compensation for all the Contractor’s expenses incurred in the performance of this Agreement, unless otherwise expressly provided.

  • Termination or Suspension for Convenience The District reserves the right, in its sole discretion, to terminate or suspend all or part of the Contract for convenience following three (3) days written notice to the Contractor.
