U.S. Plan Terminations. The Company shall take (or cause to be taken) all actions necessary or appropriate to terminate, effective no later than the day immediately preceding the Closing Date: (a) the Company’s participation in the Insperity 401(k) Plan (the “401(k) Plan”), provided, however, that before or after the termination, the Company may adopt amendments to the 401(k) Plan and take such other actions with respect to the 401(k) Plan as the Company deems necessary or advisable to maintain the 401(k) Plans’ qualified status and to distribute the Plans’ assets in accordance with all applicable Legal Requirements; and (b) any other U.S. Plan or Non-U.S. Plan requested by the Purchaser at least three Business Days prior to the Closing Date. The Company shall provide any notice required by Law to Company Employees concerning the termination of the Company’s participation in the 401(k) Plan sufficiently in advance of the Closing Date that the Surviving Corporation will not be required to contribute any amounts to the 401(k) Plan on or after the Closing Date. The Company shall provide the Purchaser evidence of such notices and evidence that the Company’s board of directors has validly adopted resolutions to terminate the Company’s participation in the 401(k) Plan and any other U.S. Plan or Non-U.S. Plan (the form and substance of which resolutions shall be subject to review and approval of the Purchaser), effective no later than the date immediately preceding the Closing Date. In the event that the distributions of assets from the trust of a 401(k) Plan is reasonably anticipated to trigger liquidation charges, surrender charges, or other fees to be imposed upon the account of any participant or beneficiary of such plan or upon the Company or a Company Subsidiary, then the Company shall take such actions as are necessary to reasonably estimate the amount of such charges or fees and provide such estimate in writing to the Purchaser prior to the Closing Date.
