TIME EMPLOYMENT AGREEMENT. During the term of this Agreement, Employee will provide assistance with respect to the transition to a new chief executive officer. Such assistance will include, without limitation, providing advice, guidance and mentoring to the acting chief executive officer and other members of the senior management team. In addition, Employee will inform the Board of Directors periodically as to the status of the transition and participate in meetings, interviews and discussions concerning the successor chief executive officer. Employee will also advise and assist the Board of Directors and the management team with respect to strategic matters.
