Termination During Retention Period. If the Employee’s employment with the Company terminates for any reason, voluntary or involuntary, prior to the Retention Date, the Employee will not be entitled to receive any portion of the Retention Payment; provided, that any such termination will remain subject to the terms and conditions of the Employment Agreement and the Change in Control Agreement, as may be applicable.

Termination During Retention Period. Notwithstanding the provisions of Section 2, your employment during the Retention Period will terminate under the following circumstances and will be subject to the following provisions:

If prior to the end of the Retention Period, Xxxxxxx resigns his employment or HomeStreet terminates Xxxxxxx'x employment as a result of his conduct (constituting a breach of HomeStreet Code of Business Conduct and Ethics) Xxxxxxx will not have earned, and HomeStreet will not be obligated to pay, the retention/severance bonus described in paragraph 3 and the prorated bonus for 2015 described in paragraph 5.

The obligations of the parties hereto regarding the use of reasonable care, indemnities and payment of fees and expenses shall survive the termination of this Agreement.

  • Non-Competition During Employment Executive agrees during the Basic Term, and any extension of the Basic Term under this Agreement, he will not compete with the Company by engaging in the conception, design, development, production, marketing, or servicing of any product or service that is substantially similar to the products or services which the Company provides, and that he will not work for, in any capacity, assist, or became affiliated with as an owner, partner, etc., either directly or indirectly, any individual or business which offer or performs services, or offers or provides products substantially similar to the services and products provided by Company.

  • Time Off During Notice Period During the period of notice of termination given by the employer, an employee shall be allowed up to one day's time off without loss of pay for the purpose of seeking other employment.
