Survival of Agreement Terms. Except as expressly set forth herein, the terms and conditions of the Original Agreement shall remain in full force and effect. In the event of any conflict between the terms and conditions of this Amendment No. 1 and the Original Agreement, the terms and conditions set forth in this Amendment No. 1 shall control with respect to the subject matter hereof.
Survival of Agreement Terms. The covenants, representations and warranties contained herein shall survive the closing of the transactions contemplated hereby. The terms of this Agreement shall bind the Subscriber, and any successor or assignee, from the date of tendering to the Company and both before and after issuance of the Securities, and shall continue to bind until sale or other disposition of all the Securities by the Subscriber but that certain provisions, such as the release, indemnity and confidentiality provisions of this Agreement shall continue to bind for a period of ten (10) years after the sale or other disposition of the Securities.
Survival of Agreement Terms. Notwithstanding anything herein to the contrary, the parties understand and agree that all terms and conditions of this agreement and the exhibits and attachments hereto which may require continued performance, compliance or effect beyond the termination date of the agreement shall survive such termination date and shall be enforceable by the State as provided herein in the event of such failure to perform or comply by the Local Agency.
Survival of Agreement Terms. Other than as may be modified herein, all terms of the Agreement and any rights granted therein shall survive this Amendment, except for the following terms of the Agreement that shall be deemed void: Sections 2(b), 2(d), 2(e), 2(f), 3(b), 3(c), 3(d), 3(e), 3(f), 3(i), and 3(m). Except as set forth in Section 5, in the event of any inconsistencies between the terms of this Amendment and the Agreement, the terms of this Amendment shall prevail.
Survival of Agreement Terms. Upon termination of this Agreement, Xxxxxxx's obligations under the following paragraphs shall survive and remain in effect and enforceable by PDF: 3-6, 8, 12-19.
