Statements and Royalty Payments. On or before ------------------------------- the last day of each month following the preceding calendar quarter, Licensee shall submit complete and accurate statements showing the quantity, description and Net Sales price of the individual Licensed Articles distributed and/or sold, by category and trademark, during the preceding quarter, as well as an itemized list of any deductions, and simultaneously therewith shall make all Royalty Payments thereon. Such statements and Royalty Payments shall be made to Licensor in accordance with Paragraph 13, infra. The receipt xx xxxxxxxxxx xx Xicensor of any of the statements or Royalty Payments required herein (including the cashing of any royalty checks) shall not preclude Licensor from questioning the correctness thereof at any time, and in the event that any inconsistencies or mistakes are discovered in such statements or Royalty Payments, they shall be immediately rectified and appropriate payment made by Licensee. All Royalty Payments shall be made in U.S. funds.

Statements and Royalty Payments. In connection with the royalties in subsections (a), (b) and, if any, (c), Licensee will furnish to GM not later than thirty days after the end of each calendar month: (1) complete and accurate monthly statements showing (i) the dealer cost received by Licensee or its Subsidiaries on sales of the GM Protection Plan during the preceding month and any applicable deductions for cancellations; and (ii) revenues of the GM Motor Club during the preceding month and any applicable deductions for cancellations; and (2) a check in payment of the royalty due from such sales and revenues as reported in (1) above. The receipt or acceptance by GM of any of the statements furnished pursuant to this Agreement or any royalties paid hereunder (or the cashing of any royalty checks paid hereunder) will not preclude GM from questioning the correctness of or mistakes which are discovered in such statements or payments, and in the event that any inconsistencies or mistakes are discovered in such statements or payments, they will promptly upon notice be rectified and the appropriate payments made by Licensee provided, however, that if GM fails to notify Licensee of a potential dispute within two years after receipt of a statement or payment, GM will be deemed to have waived any claims with respect thereto. If any amount due and payable hereunder is not made on the due date, then, without prejudice to any other rights of GM, GM will charge interest on such outstanding amount at the rate of 1.00 percentage point above the prime rate as quoted in the Wall Street Journal from the due date until the date of payment.

  • Reports and Royalty Payments Within [* * *] days after the beginning of each Contract Quarter during the Royalty Term, Celgene shall deliver to Acceleron a report setting forth for the previous Contract Quarter the following information on a Licensed Product-by-Licensed Product and country-by-country basis in the Territory: (a) the gross sales and Net Sales of Licensed Product, (b) the number of units sold by Celgene, its Affiliates or Sublicensees, (c) the basis for any adjustments to the royalty payable for the sale of each Licensed Product, and (d) the royalty due hereunder for the sales of each Licensed Product (the “Royalty Report”). The total royalty due for the sale of Licensed Products during such Contract Quarter shall be remitted at the time such report is made. Not later than the Payment Deadline, Lessee shall report to COLT showing the actual amount for each and every mining method of Coal mined, processed, stockpiled, loaded, shipped, and sold from the Premises by Lessee and/or its Affiliates or contractors during the preceding month and shall also include individual sales of Coal by Lessee, the customers to which Coal was sold, the Gross Sales Prices of Coal for each sale, itemization of allowable deductions for each sale, calculations of Actual Production Royalty due COLT for each sale and for the preceding month, and the location, by Quarter-Quarter Section, Township, and Range, of the lands of COLT from which such Coal was mined. Such report or reports shall be made either on a form or forms of COLT supplied to Lessee or on a form or forms of Lessee that are approved by COLT. Each report shall be certified to be true, accurate, and correct by Lessee and shall be to the satisfaction of COLT. In any event, all of the aforementioned items shall be made available to COLT by Lessee, at all times upon COLT’s request, for any month during the term of this Lease. Such reports shall, at COLT’s request, be accompanied by copies of invoices, purchase orders, sales receipts, bills of lading, truck weight tickets, railroad weight tickets, barge weight tickets, statements of transportation, washing and handling charges, and other forms of verification as may be deemed necessary by COLT.

  • Royalty Payments (i) Royalties shall accrue when Licensed Products are invoiced, or if not invoiced, when delivered to a third party or Affiliate.

  • PROGRESS AND ROYALTY REPORTS 8.1. For the period beginning January 1st 2007, LICENSEE will submit to REGENTS a semi-annual progress report covering LICENSEE’s activities related to the development and testing of all LICENSED PRODUCTS, LICENSED SERVICES and LICENSED METHOD and the obtaining of necessary governmental approvals, if any, for marketing in the United States. Concurrently with the making of such reports, such Party shall pay to the other Party royalties due at the rates specified in Section 6.3 or Section 6.4 above, as applicable.
