Signing Authority of Officers. The officers, if any, shall have such authority to sign checks, instruments and other documents on behalf of the Company as may be delegated to them by the Sole Member.

Signing Authority of Officers. Any officer, acting alone, is authorized to endorse checks, drafts and other evidence of indebtedness made payable to the order of the Company, but only for the purpose of deposit into the Company’s accounts. Any officer is also authorized to sign or enter into checks, drafts, contracts or other instruments obligating the Company to pay money in amounts as Approved by the Management Committee or approved by the Chief Executive Officer.

All checks, drafts, instruments and contracts obligating the Company to pay money in amounts in excess of the foregoing amounts must be signed on behalf of the Company by any two such officers acting together. The foregoing restrictions may be modified by the Management Committee in its discretion.

Any one officer, acting alone, shall be authorized to sign contracts and obligations on behalf of the Company, in accordance with the other terms and conditions of this Operating Agreement.
