Service Award for Named Plaintiffs. As part of their motion seeking final approval of the Settlement at the Fairness Hearing, Class Counsel will submit to the Court an application for a $9,000 service award for each of the 19 Named Plaintiffs. Ford will pay any such service award (up to but not to exceed that amount) approved by the Court pursuant to the terms of this Settlement Agreement within ten business days after the Effective Date of Settlement. Ford will do so by sending payment to Class Counsel to be forwarded to the Named Plaintiffs, provided that Class Counsel give Xxxx completed W-9 forms for the Named Plaintiffs at least 21 days before payment.

Service Award for Named Plaintiffs. As part of their motion seeking final approval of the Settlement at the Fairness Hearing, Named Plaintiffs’ Lead Counsel will submit to the Court an application for a total $150,000 service award, to be allocated by the Court among the Named Plaintiffs. Xxxx has agreed to pay this amount separate from the fee and expense award described above. Xxxx agrees not to oppose this application. Ford will pay the Court-approved Service Award within ten business days after the Effective Date of Settlement by sending payment to Named Plaintiffs’ Lead Counsel for forwarding to the Named Plaintiffs.

Related to Service Award for Named Plaintiffs

  • Service Award Named Plaintiff may apply to the Court for a service award of up to ten thousand dollars ($10,000). Subject to the Court’s approval, the service award shall be paid from the Settlement Fund ten (10) days after the Effective Date.

  • Service Awards In consideration of the provision of services, COMPANY to pay EMPLOYEE, as compensation; The gross amount of RMB annually calculated at the rate of twelve (12) equal monthly installments consecutively of RMB each.

  • Performance Awards With respect to any Performance Award, the length of any Performance Period, the Performance Goals to be achieved during the Performance Period, the other terms and conditions of such Award, and the measure of whether and to what degree such Performance Goals have been attained will be determined by the Board.

  • Payments to Plan Participants and Their Beneficiaries (a) Company shall deliver to Trustee a schedule (the "Payment Schedule") that indicates the amounts payable in respect of each Plan participant (and his or her beneficiaries), that provides a formula or other instructions acceptable to Trustee for determining the amounts so payable, the form in which such amount is to be paid (as provided for or available under the Plan), and the time of commencement for payment of such amounts. Except as otherwise provided herein, Trustee shall make payments to the Plan participants and their beneficiaries in accordance with such Payment Schedule. The Trustee shall make provision for the reporting and withholding of any federal, state or local taxes that may be required to be withheld with respect to the payment of benefits pursuant to the terms of the Plan and shall pay amounts withheld to the appropriate taxing authorities or determine that such amounts have been reported, withheld and paid by Company.

  • Performance Share Units The Committee may, in its discretion, grant to Executive performance share units subject to performance vesting conditions (collectively, the “Performance Units”), which shall be subject to restrictions on their sale as set forth in the Plan and an associated Performance Unit Grant Letter.

  • Performance Shares The Performance Shares earned by the Grantee will be determined and delivered to the Grantee as soon as practicable subsequent to the determination of the Corporation’s financial results for the Performance Cycle and approval by the Plan Administrator. The corresponding shares of the Corporation’s common stock will be purchased on the open market.

  • Performance Indicators The HSP’s delivery of the Services will be measured by the following Indicators, Targets and where applicable Performance Standards.   • Performance Share Awards On the Performance Share Vesting Date next following the Executive's date of death, the number of Performance Shares that shall become Vested Performance Shares shall be determined by multiplying (a) that number of shares of Company Common Stock subject to the Performance Share Agreement that would have become Vested Performance Shares had no such termination occurred; provided, however, in no case shall the number of Performance Shares that become Vested Performance Shares exceed 100% of the Target Number of Performance Shares set forth in the Performance Share Agreement, by (b) the ratio of the number of full months of the Executive's employment with the Company during the Performance Period (as defined in the Performance Share Agreement) to the number of full months contained in the Performance Period. Vested Common Shares shall be issued in settlement of such Vested Performance Shares on the Settlement Date next following the Executive’s date of death.

  • Performance Share Award If your Award includes a Performance Share Award, and you voluntarily terminate your employment prior to the end of the Performance Period, you will forfeit your entire Performance Share Award.
