Sale and Distribution. In addition to the provisions of Sections 6(a), (b), (c), (d), (e) and (f) above, each of the Underwriters, on behalf of itself and each of its respective affiliates that participates in the initial distribution of the Securities, represents to and agrees with the Province that it and each of its respective affiliates (i) has not offered, sold or delivered and will not offer, sell or deliver, directly or indirectly, any of the Securities or distribute the Basic Prospectus, any Preliminary Final Prospectus, the Final Prospectus, the Time of Sale Information, any “free writing prospectus”, or any other offering material relating to the Securities, in or from any jurisdiction except under circumstances that will, to the best of its knowledge and belief, after reasonable investigation, result in compliance with the applicable laws and regulations thereof and which will not impose any obligations on the Province except as contained in this Agreement, and (ii) notwithstanding the foregoing clause (i), will not distribute any Preliminary Final Prospectus or the other Time of Sale Information outside the United States.

In addition to the provisions of Sections 7(a) through (g) above, each Underwriter, on behalf of itself and each of its affiliates that participates in the initial distribution of the Securities, represents to and agrees with the Province that it and each such affiliate has not offered, sold or delivered and it and they will not offer, sell or deliver, directly or indirectly, any of the Securities or distribute any of the Time of Sale Information or the Final Prospectus or any other offering material relating to the Securities, in or from any jurisdiction except under circumstances that will, to the best of its or their knowledge and belief, after reasonable inquiry, result in compliance with the applicable laws and regulations thereof and which will not impose any obligations on the Province except as contained in this Agreement. In addition, the Underwriters agree with the Province to cause each selling group member to agree to comply with the restrictions on offers and sales of the Securities set forth in this Section 7.
Sale and Distribution. The Buyer will sell the Supply Products only in the Territory and will not directly or indirectly sell or otherwise distribute the Supply Products outside of the Territory. The Buyer shall have the sole and exclusive right to determine all terms and conditions of sale by it of the Supply Products.
Sale and Distribution. The Licensee will sell the Product only in the Territory and will not directly or indirectly sell or otherwise distribute the Product outside of the Territory.

Sale and Distribution. Any sale and/or distribution of a prohibited substance on Company property is grounds for immediate termination.

Under the licenses granted in Sections 2.1 and 2.2, Siemens may only offer for sale, sell and otherwise distribute Licensed Real-Time Thermal Cyclers, Licensed Components and Licensed Reagent Products: (a) directly to end-users, (b) to end-users through Siemens’ Affiliates, or (c) to end-users through one or more local Third Party distributors that are neither (i) engaged in the global sales of products in the HIVD Field, nor (ii) Affiliates of any Person that is engaged in the global sales of products in the HIVD Field, nor (iii) engaged in activities that infringe Licensed Patent Rights in the United States, Canada, the United Kingdom, France, Germany, Italy, the Netherlands, Spain or Portugal.
Sale and Distribution. The distribution pathway(s) for saleable products from the facility to buyer(s) – including renewable fuel and co-products. Report the distance and mode of transport required for delivering outputs.
