Replacement of Committee Member s. (a) Each of IO, ORC and MCSCS shall be entitled to replace any of its respective representatives on the Facilities Management Committee by written notice to Project Co. IO will use commercially reasonable efforts to deliver and to cause ORC and MCSCS to deliver prior written notice of any such replacement to Project Co. Project Co may replace any of its representatives on the Facilities Management Committee with the prior written consent of IO, not to be unreasonably withheld or delayed.
