Remedies of the Contractor in Event of Termination by the Division. In the event of termination of this Contract for any reason by either party (except for termination by the Division pursuant to sections 7.1 or 7.2), the Division shall pay only those amounts, if any, due and owing to the Contractor hereunder for services actually and satisfactorily provided in accordance with the provisions of this Contract up to and including the date of termination of the Contract and for which the Division is obligated to pay pursuant to this Contract; provided however that in the event the Division terminates this Contract pursuant to section 7.5, the Division’s obligation to pay Contractor such amounts and other compensation shall be limited by, and subject to, legally available funds. Payment will be made only upon submission of invoices and proper proof of the Contractor’s claim. Notwithstanding the foregoing, this section 7.6 in no way limits the rights or remedies available to the Division and shall not be construed to require the Division to pay any compensation or other amounts hereunder in the event of Contractor’s breach of this Contract or any amounts withheld by the Division in accordance with the terms of this Contract.   • TERMINATION BY THE CONTRACTOR If the Work is stopped for a period of thirty days under an order of any court or other public authority having jurisdiction, or as a result of an act of government, such as a declaration of a national emergency making materials unavailable, through no act or fault of the Contractor or a Subcontractor or their agents or employees or any other persons performing any of the Work under a contract with the Contractor, or if the Work should be stopped for a period of thirty days by the Contractor because the Architect has not issued a Certificate for Payment as provided in Paragraph 9.7 of these General Conditions or because the State has not made payment thereon as provided in Paragraph 9.7, then the Contractor may, upon seven additional days written notice to the State and the Architect, terminate the Contract and recover from the State payment for all Work executed and for any proven loss sustained upon any materials, equipment, tools, construction equipment and machinery, including reasonable profit and damages.

  • Consequences of Termination on Notice by the Province If the Province terminates the Agreement pursuant to section A11.1, the Province may take one or more of the following actions:
