Reimbursement of Members. The Company or its subsidiaries shall pay or reimburse to NGP all reasonable direct and indirect costs and expenses incurred by NGP to the extent solely related to the Company, including legal fees and accounting fees.

Reimbursement of Members. The Company or its subsidiaries shall pay or reimburse to the RSP LLC Members and NGP all reasonable direct and indirect costs and expenses incurred by such Members in organizing the Company, including legal fees and accounting fees, and an “NGP Financing Fee” in an amount equal to 1% of its Capital Contributions as invested in the Company. Notwithstanding the provisions to Sections 4.1, 4.2 and 4.3 to the contrary, any deduction attributable to the payment of the Transaction Fee shall be specially allocated to NGP and NGP’s Capital Account shall be appropriately adjusted to reflect such allocation.
