In the event that any Member shall have a deficit balance in its Capital Account, such Member shall have no obligation, including during the Term or upon dissolution or liquidation of the Company, to restore such negative balance or make any Capital Contributions to the Company by reason thereof, except as may be required by Applicable Law or in respect of any negative balance resulting from a withdrawal of capital or dissolution in contravention of this Agreement.
No Member shall receive any interest, salary, management, or service fees, or drawing with respect to its Capital Contributions or its Capital Account, except as otherwise provided in this Agreement or any JV Agreement.
No Member shall be entitled to withdraw any part of its Capital Account or to receive any distribution from the Company, except as otherwise provided in this Agreement.
The Capital Account of a Partner will be (i) increased by (a) the amount of all capital contributions (“Capital Contributions”) by that Partner to the Fund; and (b) any Profits (or items of gross income) allocated to that Partner; and (ii) decreased by (a) the amount of any Losses (or items of loss) allocated to that Partner; and (b) the amount of any distributions to that Partner.
No Member may withdraw any amount from its Capital Account unless such withdrawal is made pursuant to Sections 5.2, 6.4 or 8.2. A holder of Interest(s) shall not have the status of, and is not entitled to the remedies available to, a creditor of the Fund with regard to distributions that such holder of Interest(s) becomes entitled to receive pursuant to this Agreement and the Act.
