Refunds for payments, except those made by cheque. We will refund the amount of a payment, except those made by cheque, and restore your account to the state it would have been in had the payment not taken place (i.e., refund any charges or interest you paid as a result of the payment and we will pay you any interest we would have paid you), if: you tell us that a payment out of your account was unauthorised. We may carry out an investigation to confirm that you did not authorise the payment, unless we find proof you did authorise it, you will not be liable for the payment; or you instructed us to make the payment to another bank and the payment was not made properly or never arrived. However, if: there was a mistake in any of the details contained in the payment instruction you gave us (see clauses c) and c) above) it may not be possible for us to recover your payment. In the event you do give us the wrong payment details and realise your mistake, you must promptly inform us and we will make reasonable efforts to recover the funds used to make the payment and we may charge you reasonable costs for doing so; or we can demonstrate that the payment was received by the other person's bank (in this case that bank is required by law to make the payment immediately to that person). In order to refund a payment in accordance with clause 9.a), you must inform us as soon as is reasonably possible. If you fail to promptly inform us that a payment was either unauthorised (clause 9.7i.) or was not properly made/never arrived (clause 9.7ii.) then it becomes more difficult for us to reasonably ascertain what happened. In situations where there is a delay in informing us and we cannot reasonably ascertain what happened we are less likely to refund your payment and restore your account. As a general rule, we will not refund a payment if you tell us that the payment was not made properly or was unauthorised more than 8 months after it was made. If you do not recognise a payment out of your account and think it may be unauthorised, we will give you more details if you ask us.

  • Funds for Payments (a) All payments of principal, interest, facility fees, Letter of Credit fees, closing fees and any other amounts due hereunder or under any of the other Loan Documents shall be made to the Agent, for the respective accounts of the Lenders and the Agent, as the case may be, at the Agent’s Head Office, not later than 2:00 p.m. (Cleveland time) on the day when due, in each case in lawful money of the United States in immediately available funds. The Agent is hereby authorized to charge the accounts of the Borrower with KeyBank set forth on Schedule 4.3, on the dates when the amount thereof shall become due and payable, with the amounts of the principal of and interest on the Loans and all fees, charges, expenses and other amounts owing to the Agent and/or the Lenders (including the Swing Loan Lender) under the Loan Documents. Subject to the foregoing, all payments made to the Agent on behalf of the Lenders, and actually received by the Agent, shall be deemed received by the Lenders on the date actually received by the Agent.

  • Offices for Payments, etc So long as any of the Securities remain outstanding, the Issuer will maintain in the Borough of Manhattan, The City of New York, the following for each series: an office or agency (a) where the Securities may be presented for payment, (b) where the Securities may be presented for registration of transfer and for exchange as in this Indenture or any supplemental indenture provided and (c) where notices and demands to or upon the Issuer in respect of the Securities or of this Indenture may be served. The Issuer will give to the Trustee written notice of the location of any such office or agency and of any change of location thereof. Unless otherwise specified in accordance with Section 2.03, the Issuer hereby initially designates the Corporate Trust Office of the Trustee, as the office to be maintained by it for each such purpose. In case the Issuer shall fail to so designate or maintain any such office or agency or shall fail to give such notice of the location or of any change in the location thereof, presentations and demands may be made and notices may be served at the Corporate Trust Office. The Issuer will give to the Trustee prompt written notice of any such designation or rescission thereof.

  • Applications for Payment 9.3.1 At least ten days before the date for each progress payment established in the State- Contractor Agreement, the Contractor shall submit to the Architect an itemized Application for Payment, notarized if required, supported by such data substantiating the Contractor's right to payment as the State or the Architect may require.   • Liability for Payment in Advance of Receipt of Securities Purchased In any and every case where payment for the purchase of Securities for the Fund is made by the Custodian in advance of receipt of the Securities purchased and in the absence of specified Written Instructions to so pay in advance, the Custodian shall be liable to the Fund for such payment.

  • Mandatory Payment of Expenses Notwithstanding any other provision of this Agreement other than Section 10 hereof, to the extent that Indemnitee has been successful on the merits or otherwise, including, without limitation, the dismissal of an action without prejudice, in defense of any Claim, Indemnitee shall be indemnified against all Expenses incurred by Indemnitee in connection therewith.

  • Errors on Paycheques In the event of an error on an employee's pay, the correction will be made in the pay period following the date on which the underpayment comes to the Employer's attention. If the error results in an employee being underpaid by one (1) day's pay or more, the Employer will provide payment for the shortfall within three (3) business days from the date it is notified of the error. If the Employer makes an overpayment of a day’s pay or less for an employee, the overpayment will be deducted on the pay period following the date that the error is discovered. If the error is in excess of a normal day’s pay, the Employer will be reimbursed based on a mutually satisfactory arrangement between the employee and the Employer.

  • Application for Payment The form acceptable to Owner that is to be used by the Contractor during the course of the Work in requesting payment from the Owner and that is to be accompanied by such supporting documentation as is required by the Contract Documents.
