Recordation of Licenses. In those countries where a trademark license must be recorded, Angioblast will provide to Cephalon, on Cephalon’s written request, a separate trademark license for the Existing Xxxx and Angioblast Logos and Cephalon will arrange for the recordation of such trade xxxx license with the appropriate governmental agency, at Cephalon’s expense, promptly following receipt of such license from Angioblast. Cephalon shall cooperate in the preparation and execution of such documents.

In those countries where a trademark license must be recorded, XenoPort will provide to GSK, on GSK’s written request, a separate trademark license for the XenoPort Trademarks and, if necessary, XenoPort House Marks on terms that are consistent with, and no broader or more onerous than, the terms of this Agreement and GSK will arrange for the recordation of such trade xxxx license with the appropriate governmental authority, at GSK’s expense, promptly following receipt of such license from XenoPort. GSK shall cooperate in the preparation and execution of such documents.

Recordation of Licenses. For Compound Patents following the Effective Date, and for BII Invention Patents at any time after they have been filed and before the Assignment Date, BII at the request and expense of XYNOMIC shall promptly register or record the licenses of Licensed Patents granted to XYNOMIC under this Agreement with the appropriate patent offices in all applicable countries of the Territory; provided that such registration or recordation specifies the applicable limitations of such license, and provided further that such registration shall have no effect on the allocation of Prosecution and Maintenance rights and obligations set forth in Section 9.1.
