Recommended Retail Price. (a) By no later than the commencement of the sale of Licensed Products to Approved Distributors for each Annual Period by Vendor, Vendor shall provide details of and discuss in good faith with Company the Recommended Retail Price for each Licensed Product in each Annual Period in each Approved Country and/or Authorized Channel of Distribution. (b) Vendor shall at all times ensure that all Approved Retailers that are supplied with any Licensed Products are aware at all times of the Recommended Retail Price in respect thereof. (c) For the avoidance of doubt, nothing in this Section 3.9 shall prohibit Vendor from selling any Licensed Products at any price as Vendor freely determines, or prohibit any Approved Retailer or Approved Distributor from selling any Licensed Products at any price as that Approved Retailer or Approved Distributor freely determines. ARTICLE IV SALES TO COMPANY INTERNATIONAL STORES AND COMPANY FRANCHISE STORES 4.1 Sales to Company International Stores and Company Franchise Stores. Vendor and Approved Distributors shall sell Licensed Products to Company International Stores and Company Franchise Stores at a price to be negotiated by the parties but which shall not exceed the most favorable price that Vendor sells to Approved Retailers and Approved Distributors (including any Trade Discount(s) or other discounts or gross margin percentage equivalent benefit). 4.2
Recommended Retail Price. (a) By no later than the commencement of the sale of Licensed Products to Approved Distributors for each Annual Period by Vendor, Vendor shall provide details of and discuss in good faith with Company the Recommended Retail Price for each Licensed Product in each Annual Period in each Approved Country and/or Authorized Channel of Distribution.
Recommended Retail Price. FTMS may set recommended retail prices for FTMS Products; provided that it shall notify the Dealer of such recommended retail prices and publish the same. The Dealer shall agree to respect such recommended retail prices; provided however that in case FTMS sets a limit on the highest retail price the Dealer shall observe such limit.

  • Marketing Fee Member shall pay to RPMG a Marketing Fee equal to ***. The Marketing Fee shall be paid on a monthly basis. In lieu of Member directly paying any amounts to RPMG by separate payment, the parties may offset or apply such amounts to subsequent payments to be made within RPMG's standard billing and payment cycle.

  • Supply Price The price payable by SAVIENT to NOF for the Activated PEG manufactured and supplied by NOF pursuant to SAVIENT’s Firm Orders (“Supply Price”) shall be as set out in Exhibit C, and the price for each order shall be calculated based on SAVIENT’s total Forecast for the Year in which the order is placed regardless of whether NOF shall complete delivery in the Year in which it is ordered. By way of example, if SAVIENT’s Forecast for a particular Year is for [**] kg of the Activated PEG, then orders placed during that Year will be charged at US$[**]/Kg. If at the end of any Year actual orders purchased by SAVIENT do not fall within the applicable quantity range of the original Forecast, then the Price for the Activated PEG purchased during that Year shall be adjusted to reflect that actual volume of Activated PEG purchased by SAVIENT, provided, however, if the actual amount purchased by SAVIENT is less than Forecasted due to [**], then the Price for the Activated PEG purchased by Savient shall be based on [**]. Upon adjustment, if necessary, either SAVIENT shall pay to NOF or NOF shall credit to SAVIENT, as applicable, the balance based on the said adjustment. Any amounts owing by SAVIENT to NOF pursuant to this provision shall be remitted within [**] days of the SAVIENT’s receipt of a reconciliation statement which sets forth in specific detail the amounts purchased by SAVIENT during the Year in question; any credits owing by NOF to SAVIENT shall be applied to [**]. Provided, however, that SAVIENT shall pay to NOF only such amount as corresponds with the amount of Activated PEG which is actually delivered to SAVIENT or SAVIENT’S designee pursuant to the terms of this Agreement.

  • Annual Fee As compensation for its activities hereunder, the Asset Representations Reviewer shall be entitled to receive an annual fee (the “Annual Fee”) with respect to each Annual Period prior to the termination of the Issuer, in an amount equal to $5,000.

  • Share Termination Unit Price The value to Dealer of property contained in one Share Termination Delivery Unit, as determined by the Calculation Agent in its discretion by commercially reasonable means and notified by the Calculation Agent to Dealer at the time of notification of the Payment Obligation. For the avoidance of doubt, the parties agree that in determining the Share Termination Delivery Unit Price the Calculation Agent may consider the purchase price paid in connection with the purchase of Share Termination Delivery Property.

  • Consideration Period You have 21 days from the date this Separation Agreement is given to you to consider this Separation Agreement before signing it. You may use as much or as little of this 21-day period as you wish before signing. If you do not sign and return this Separation Agreement within this 21-day period, you will not be eligible to receive the benefits described in this Separation Agreement.

  • Company Determination Final Any determination that the Company or its Board of Directors must make pursuant to this Article 6 shall be conclusive if made in good faith and in accordance with the provisions of this Article 6, absent manifest error, and set forth in a Board Resolution.

  • VALUATION PERIOD Each Division will be valued at the end of each Valuation Period on a Valuation Date. A Valuation Period is each Business Day together with any non-Business Days before it. A Business Day is any day the New York Stock Exchange (NYSE) is open for trading, and the SEC requires mutual funds, unit investment trusts, or other investment portfolios to value their securities. ACCUMULATION VALUE The Accumulation Value of this Contract is the sum of the amounts in each of the Divisions of the Variable Separate Account and General Account. You select the Divisions of the Variable Separate Account and General Account to which to allocate the Accumulation Value. The maximum number of Divisions to which the Accumulation Value may be allocated at any one time is shown in the Schedule. ACCUMULATION VALUE IN EACH DIVISION ON THE CONTRACT DATE On the Contract Date, the Accumulation Value is allocated to each Division as elected by you, subject to certain terms and conditions imposed by us. We reserve the right to allocate premium to the Specially Designated Division during any Right to Examine contract period. After such time, allocation will be made proportionately in accordance with the initial allocation(s) as elected by you. ON EACH VALUATION DATE At the end of each subsequent Valuation Period, the amount of Accumulation Value in each Division will be calculated as follows:
