Authorized Channel means the distribution channel, as specified in SECTION 1 of EXHIBIT B, attached hereto, in which VUG is authorized to reproduce, manufacture, market, promote, distribute and sell Partner Products.

Authorized Channel means the ethical market channel, comprised of the sale of Products to (i) estheticians and dermatologists, plastic surgeons and other physicians that prescribe or dispense topical dermatological preparations, (ii) pharmacies for sale “behind the counter” and not in the health and beauty aids section, (iii) medical clinics, health maintenance organizations and other recognized prescription drug channels of trade, and (iv) distributors for resale to the channels of trade referred to in clauses (i) through (iii), and such other channels of trade, if any, as the parties may mutually agree from time to time.
