Purpose of the CDA. In many jurisdictions the disclosure of information from one party to another without specifying and limiting the purposes for which the receiving party may use the information constitutes a license to use the information for whatever purpose the receiving party desires, even though the recipient must preserve the confidentiality of the information. It is therefore generally recommended that the CDA specify the reason why the parties are exchanging information, the ways in which the receiving party may use the information, and clearly state that the receiving party may not use the information for any other purpose.
