Purchaser's Own Account. Purchaser is acquiring the Shares for investment purposes only, for his, her or its own account and not as nominee or agent for any other person, firm or corporation and not for resale in connection with any distribution or public offering thereof within the meaning of the Securities Act of 1933, as amended (the "Securities Act"). Purchaser represents to the Company that he, she or it is an "accredited investor" (as such term is defined in Rule 501 of Regulation D under the Securities Act) and that, by reason of his, her or its business and financial experience, has such knowledge, sophistication and experience in business and financial matters so as to be capable of evaluating the merits and risks of an investment in the Shares and is able to bear the economic risk of such investment. In that regard, Purchaser has accurately completed the "Purchaser Qualification Statement" attached hereto as Schedule A, verifying his, her or its status as an accredited investor.
Purchaser's Own Account. Purchaser confirms (a) that the Stock received ----------------------- by Purchaser has been acquired for investment for Purchaser's own account, not as a nominee or agent, and not with a view to the resale or distribution of any part thereof, and (b) that Purchaser has no present intention of selling or granting any participation in, or otherwise distributing the same. By executing this Agreement, Purchaser further represents that Purchaser does not have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participation to such person or to any third person, with respect to any of the Stock. Purchaser understands that the Stock purchased by it has not been registered under the Act by reason of a specific exemption from the registration provisions of the Act which depends upon, among other things, the bona fide nature of Purchaser's investment intent as expressed herein.
