Pre Closing Covenants of Purchaser. (a) During the period between the execution of this Agreement and the Closing Date, the Purchaser shall carry out any and all procedures required to consummate the Transaction in accordance with the Law, Decisions of Governmental Authority, and its Organizational Documents and internal regulations.

Purchaser hereby covenants that, from and after the Execution Date until the Closing or the earlier termination of this Agreement, Purchaser will use its best efforts to insure that all of its representations and warranties contained herein are true in all material respects as of the Closing as if repeated at and as of such time. Purchaser shall promptly notify the Seller of any event or fact constituting or which is likely to cause a breach or default of its covenants, representations or warranties herein.
Pre Closing Covenants of Purchaser. Purchaser covenants to Sellers that, during the period from the Execution Date through and including the Closing or the earlier termination of this Agreement, Purchaser shall take, or cause to be taken, all commercially reasonable actions and to do, or cause to be done, all things necessary or appropriate, consistent with applicable Law, to consummate and make effective as soon as possible the transactions contemplated hereby; provided that the foregoing shall not require Purchaser to participate as a bidder in the Auction.
Pre Closing Covenants of Purchaser. Purchaser hereby covenants and agrees that, between the date hereof and the Closing, it will comply with the provisions of this Section, except to the extent Seller may otherwise consent in writing.

Pre Closing Covenants of Purchaser. During the period from the date hereof to the Closing, except as otherwise provided for in this Agreement or the Ancillary Agreements or the transactions contemplated hereby or thereby or as disclosed in the Disclosure Schedules hereto, or as Seller shall otherwise consent in electronic mail or writing (which consent shall not be unreasonably withheld), Purchaser covenants and agrees, on behalf of itself and their Affiliates:

Purchaser hereby covenants and agrees with R & S that, between the date of this Agreement and the Closing Date or date of termination of this Agreement, as the case may be, Purchaser shall cause the conditions set forth in Article 11 hereof to be satisfied by the Closing Date.
