Post-Employment Restricted Services Obligation. For a period of two (2) years following the end, for whatever reason, of Executive’s employment with the Company, Executive agrees not to directly or indirectly provide Restricted Services to any Competitor in the Territory.

Post-Employment Restricted Services Obligation. For the one (1) year period following termination, for whatever reason, of Employee’s employment with the Company, Employee will not, directly or indirectly, provide Restricted Services (defined below) to or on behalf of any Competitor (defined below) to or for the benefit of any market in the continental United States and any other geographic market in which the Company is doing, or is taking material steps to do, business.
Post-Employment Restricted Services Obligation. For twelve (12) months following termination of Executive’s employment with the Company, for any reason, Executive agrees not to provide Restricted Services to any Competitor in any geographic area in which the Company sold pre-kindergarten through 12th grade educational products and services during the twelve (12) month period preceding termination of Executive’s employment. During such twelve (12) month period, Executive also will not provide any Competitor with any advice or counsel concerning the provision of Restricted Services anywhere in such geographic area.
Post-Employment Restricted Services Obligation. For eighteen (18) months following termination of Employee’s employment with the Company, for whatever reason, Employee agrees not to provide Restricted Services to any Competitor in any geographic area in which the Company sold pre-kindergarten through 12th grade educational products and services during the twelve (12) month period preceding termination of Employee’s employment. During such eighteen (18) month period, Employee also will not provide any Competitor with any advice or counsel concerning the provision of Restricted Services anywhere in such geographic area.
Post-Employment Restricted Services Obligation. For twelve (12) months (or for twenty-four (24) months where any CIC Severance Payments are governed by Section 3.2(c) of this Agreement) following termination of Executive’s employment with the Company, for any reason, Executive agrees not to provide Restricted Services to any Competitor in any geographic area in which the Company sold pre-kindergarten through 12th grade educational products and services during the twelve (12) month period preceding termination of Executive’s employment. During such twelve (12) month (twenty-four (24) months where any CIC Severance Payments are governed by Section 3.2(c) of this Agreement) period, Executive also will not provide any Competitor with any advice or counsel concerning the provision of Restricted Services anywhere in such geographic area.
Post-Employment Restricted Services Obligation. For twenty-four (24) months following the end of Employee’s employment, for whatever reason, with the Company, Employee agrees not to directly or indirectly provide Restricted Services to any Competitor or advice or counsel concerning the provision of Restricted Services, in the geographic areas in which during the twelve (12) months preceding the end of Employee’s employment, for whatever reason, with the Company, Employee provided substantial services or assisted any Company employee or agent in the provision of substantial services to or on behalf of the Company. This provision shall not be interpreted to preclude Employee from providing non-Restricted Services to a Competitor.
