Severance Obligations definition

Severance Obligations means the Severance Obligations identified in Section 5(b), 5(c) and 5(d) of this Plan, as applicable.
Severance Obligations means (i) in the Case of a Tier 1 Executive, those Severance Obligations identified in Section 5(b)(i)(A)-(C) of this Plan; (ii) in the case of a Tier 2 Executive, those Severance Obligations identified in Section 5(b)(ii)(A)-(C) of this Plan; (iii) in the case of a Tier 3 Executive, those Severance Obligations identified in Section 5(b)(iii)(A)-(C) of this Plan and (iv) in the case of a Tier 4 Executive, those Severance Obligations identified in Section 5(b)(iv)(A)-(C) of this Plan.
Severance Obligations means any statutory, contractual, common law or other severance or redundancy payments or other separation benefits, whether pursuant to applicable Law, any applicable plan or policy, any applicable individual employment agreement or arrangement, or otherwise and the employer portion of any Taxes payable in connection therewith. For the avoidance of doubt, Severance Obligations shall not include any severance compensation or benefits not required to be paid by applicable Law, or an applicable Benefit Plan or corresponding plan, policy, program, agreement or arrangement of Purchaser and its Affiliates.

Examples of Severance Obligations in a sentence

  • Executive will only receive the CoC Severance Package if Executive complies with Severance Obligations described in paragraph 7.2 above and, to the extent Executive sells all of his ownership interest in the Company as part of the transaction, Executive agrees to enter into a mutually agreeable agreement with the purchaser not to compete or solicit Company customers for a period of twelve (12) months following the Change of Control.

  • Any and all payments of Severance Obligations shall be less applicable withholding and deductions.

  • If the Employment Period is terminated pursuant to this Section 8(b), the Company shall have the following obligations to Executive (or his estate) (i) the payment of the Accrued Obligations, which shall be paid in accordance with Section 8(a), and (ii) the payment of Severance Obligations, which shall be paid in accordance with Section 8(f).

  • Notwithstanding any other provision hereof, the Company’s obligation to pay the Severance Obligations, if applicable, will be contingent upon the Executive executing and providing to the Company (and not revoking within the revocation period, if any, provided pursuant to the applicable release agreement) a form of release agreement provided by the Company.

  • In the event of Executive’s resignation for Good Reason, Executive will be entitled to receive Executive’s Base Salary then in effect, prorated to the date of termination, Accrued Benefits, and the Severance Package described in subsection 7.2 above, provided Executive complies with all of the Severance Obligations.

Severance Obligations means any postpetition Claim of the Debtors for payment of a severance fee related to a reduction in workforce authorized by the Final Order (I) Authorizing the Debtors to (A) Pay Certain Prepetition Wages, Other Compensation and Reimbursable Employee Expenses, and (B) Continue Employee Benefits Programs; and (II) Authorizing and Directing Financial Institutions to Honor All Obligations Related Thereto [D.I. 193] or other Final Order.
