Permitted Forfeiture of Unvested Restricted Stock. Advisor acknowledges that if the Restricted Stock has not vested in accordance with Section 2(a)(i) at such time as Advisor is no longer serving as either a non-employee director of, an employee of, or active consultant providing services to the Company or any of its subsidiaries, the Restricted Stock shall immediately be forfeited and all rights of the Advisor to such Restricted Stock shall terminate without further obligation on the part of the Company. Upon the forfeiture of any Restricted Stock, such forfeited Restricted Stock shall be immediately transferred to the Company without further action by the Company. The Restricted Stock may not be sold, assigned, pledged, exchanged, hypothecated or otherwise transferred, encumbered or disposed of to the extent that the Restricted Stock is subject to vesting and in the event of termination of employment with or services to the Company or any subsidiary for any reason.

Permitted Forfeiture of Unvested Restricted Stock. Director acknowledges that all of the Restricted Stock that has not vested in accordance with Section 2.1 shall be forfeited and all rights of the Director to such Restricted Stock shall terminate without further obligation on the part of Chartwell, unless the Director has remained an employee of, or a non-employee Director of, or active consultant providing services to Chartwell or any of its Subsidiaries, until the Vesting Date of the Restricted Stock. Upon the forfeiture of any Restricted Stock, such forfeited Restricted Stock shall be transferred to Chartwell without further action by the Director. The Restricted Stock may not be sold, assigned, pledged, exchanged, hypothecated or otherwise transferred, encumbered or disposed of to the extent that Shares are subject to vesting and in the event of termination of employment with or services to Chartwell or any Subsidiary for any reason.

Upon the forfeiture of any Restricted Stock, such forfeited Restricted Stock shall be immediately transferred to SCQO without further action by the Recipient. The Restricted Stock may not be sold, assigned, pledged, exchanged, hypothecated or otherwise transferred, encumbered or disposed of to the extent that the Restricted Stock is subject to vesting and in the event of termination of employment with or services to SCQO or any Subsidiary for any reason.

Except as set forth in this Section 5.9(c). Company shall not take or permit any action that would accelerate vesting of any Company Restricted Stock Unit, except to the extent required by the terms of any such Company Restricted Stock Unit as in effect on the date hereof. Copies of the relevant agreements governing such Company Restricted Stock Unit and the vesting thereof have been provided to Parent. Except as set forth in this Section 5.9(c), all outstanding rights that Company may hold immediately prior to the Effective Time of the First Merger to the forfeiture of shares of Company Common Stock subject to the Company Restricted Stock Unit shall be assigned to Parent in the First Merger and shall thereafter be held by Parent upon the same terms and conditions in effect immediately prior to the Effective Time of the First Merger, except that the shares forfeitable pursuant to such rights shall be appropriately adjusted to reflect the Stock Award Exchange Ratio.

  • Company Restricted Shares At the Effective Time, each share of Company Stock subject to vesting, repurchase or other restrictions pursuant to the Company Stock Plan (a “Company Restricted Share”) that is outstanding immediately prior to the Effective Time shall vest in full and become free of restrictions and any repurchase rights shall lapse, and the holder thereof shall be entitled to receive only the Merger Consideration with respect to each such Company Restricted Share in accordance with Section 2.05(b).
