VESTING AND. EXERCISABILITY: The Option will vest and become exercisable according to the following schedule: PORTION OF TOTAL OPTION PERIOD OF CONTINUOUS SERVICE WHICH IS FROM VESTING BASE DATE VESTED AND EXERCISABLE One year from Vesting Base Date 1/4th Each three-month period completed thereafter An additional 1/16th Four years from Vesting Base Date 100%
VESTING AND exercisability shall be accelerated as follows: (i) upon a Termination without Cause or a Termination for Good Reason, each Separate Option Grant will immediately vest and become exercisable (to the extent not then vested) as follows: 66.66% of the shares, if the termination takes place prior to the first anniversary of the Commencement Date; 83.33% of the shares, if the termination takes place on or after the first anniversary of the Commencement Date and prior to the second anniversary of the Commencement Date; and 100% of the shares, if the termination takes place thereafter; or (ii) upon death or Termination for a Disability, each Separate Option Grant will immediately vest as to 50% of Executive's then unvested shares; and (iii) in the event of a Change in Control, each Separate Option Grant will vest and become exercisable (to the extent not then vested): 66.66% of shares, if the Change in Control takes place prior to the first anniversary of the Commencement Date; 83.33% of the shares, if the Change in Control takes place on or after the first anniversary of the Commencement Date and prior to the second anniversary of the Commencement Date; and 100% of the shares, if the Change in Control takes place thereafter; provided that the remaining unvested shares shall vest and become exercisable (to the extent not otherwise vested and exercisable prior thereto by the other terms hereof) six (6) months after the Change in Control, if the Executive is then employed by the Company or, if earlier, upon a Termination without Cause, Termination for Good Reason, death, Termination for Disability or the Option not being continued or assumed upon the Change in Control."

Related to VESTING AND

  • Vesting mean that the Units have become non-forfeitable. If Employee has a Termination of Employment prior to the Stated Vesting Date and the Units are not otherwise deemed vested by that date, the Units will be immediately forfeited except as otherwise provided in Section 4 of the Terms and Conditions.

  • Vesting Agreement means each or any, as the context implies, agreement or instrument entered into by a holder of LTIP Units upon acceptance of an award of LTIP Units under an Equity Incentive Plan.

  • Vesting Period means the period of time specified by the Committee during which vesting restrictions for an Award are applicable.

  • Vesting Date has the meaning set forth in Section 3.10(c)(ii).

  • Vesting Dates means, as determined by the Board or by the Committee, the date as of which the Optionee shall be entitled to exercise the Options or part of the Options, as set forth in section 11 of the ISOP.

  • Vesting Schedule means the vesting schedule specified in the Grant Notice pursuant to which the Optionee is to vest in the Option Shares in a series of installments over his or her period of Service.

  • RSU means a contractual right granted pursuant to Section 9 that is denominated in Shares. Each RSU represents a right to receive the value of one Share (or a percentage of such value) in cash, Shares or a combination thereof. Awards of RSUs may include the right to receive dividend equivalents.

  • Award Date means the date upon which the Committee took the action granting an Award or such later date as the Committee designates as the Award Date at the time of the Award.

  • PSU means Public Sector Undertaking

  • Forfeiture Period means the period from the Grant Date until the Forfeiture Date.

  • LTIP Award means each or any, as the context requires, LTIP Award issued under any Equity Incentive Plan.

  • Performance Share Units means Performance Share Units granted to an Eligible Individual under Section 9.1(b).

  • RSUs means restricted stock units.

  • PSUs means the outstanding performance share units governed by the performance share unit plan of the Company dated December 16, 2013, as amended from time to time;

  • Share Units means the hypothetical Shares that are credited to the Share Unit Accounts in accordance with Section 5.3.

  • Vesting Event means the earliest to occur of the following events:

  • Equity Award means any option, restricted stock award, restricted stock unit award, stock appreciation right or other equity award to acquire shares of the Company’s common stock granted or issued to the Executive.

  • LTIP means the Long-Term Incentive Plan of the General Partner, as may be amended, or any equity compensation plan successor thereto.

  • Restricted Stock Unit Agreement means the agreement consistent with the terms of the Plan between the Company and the recipient of a Restricted Stock Unit that contains the terms, conditions and restrictions pertaining to such Restricted Stock Unit.

  • Vesting Service of an employee means the period or periods of service credited to him under the provisions of Article II for purposes of determining his vested interest in his Employer Contributions Sub-Account, if Employer Contributions are provided for under either Article VI or Article XXII.

  • Phantom means a volume of material behaving in a manner similar to tissue with respect to the attenuation and scattering of radiation. This requires that both the atomic number (Z) and the density of the material be similar to that of tissue.

  • Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).

  • Performance Share Award means an Award entitling the recipient to acquire shares of Stock upon the attainment of specified Performance Goals.

  • Vesting Commencement Date means the Grant Date or such other date selected by the Committee as the date from which an Award begins to vest.

  • RSU Award or “RSU” means an Award of restricted stock units representing the right to receive an issuance of shares of Common Stock which is granted pursuant to the terms and conditions of Section 5(a).

  • Award Period means the period beginning on an Award Date and ending on the expiration date of such Award.
