Payment of Eligible Expenses or Reimbursement for Eligible Expenses. Village is providing payment or reimbursement to Developer for Eligible Costs, which Developer has certified are payments for or reimbursements of Eligible Costs necessary to complete the Developer Project. Developer’s certification must include documentation regarding the applicable expenditures therein identified so as to demonstrate that the same constitute bona fide Eligible Costs in connection with the Developer Project and are otherwise qualified in accordance with the Tax Increment Allocation Redevelopment Act. Developer must also provide Village receipts, paid invoices, and executed contracts for all the actual expenditures for which it has received payment from Village within 5 business days after Developer makes the expenditure. Developer must also provide documentation stating it has approved all work and materials relating to such expenditures; and that Xxxxxxxxx has received no notice and has no knowledge of any mechanics’ liens or claim of mechanics’ liens either filed or threatened against the Developer Project with respect to the expenditures; and that the expenditures identified are Eligible Costs.

  • ALPS Compensation; Expenses (a) ALPS will bear all expenses in connection with the performance of its services under this Agreement, except as otherwise provided herein. ALPS will not bear any of the costs of Fund personnel. Other Fund expenses incurred shall be borne by the Fund or the Fund’s investment adviser, including, but not limited to, initial organization and offering expenses; the blue sky registration and qualification of Shares for sale in the various states in which the officers of the Fund shall determine it advisable to qualify such Shares for sale (including registering the Fund as a broker or dealer or any officer of the Fund as agent or salesman in any state); litigation expenses; taxes; costs of preferred shares; expenses of conducting repurchase offers for the purpose of repurchasing Fund shares; administration, transfer agency, and custodial expenses; interest; Fund directors’ or trustees’ fees; brokerage fees and commissions; state and federal registration fees; advisory fees; insurance premiums; fidelity bond premiums; Fund and investment advisory related legal expenses; costs of maintenance of Fund existence; printing and delivery of materials in connection with meetings of the Fund’s directors or trustees; printing and mailing of shareholder reports, prospectuses, statements of additional information, other offering documents and supplements, proxy materials, and other communications to shareholders; securities pricing data and expenses in connection with electronic filings with the U.S. Securities and Exchange Commission (the “SEC”).

  • Expenses Reimbursement State Street shall be entitled to receive from the Fund on demand reimbursement for its cash disbursements, expenses and charges, excluding salaries and usual overhead expenses, as set forth in Schedule A.

  • Reimbursement of Eligible Costs To be eligible for reimbursement, the Engineer's costs must (1) be incurred in accordance with the terms of a valid work authorization; (2) be in accordance with Attachment E, Fee Schedule; and (3) comply with cost principles set forth at 48 CFR Part 31, Federal Acquisition Regulation (FAR 31).
