Compensation; Payment of Fees and Expenses. As compensation for the performance of the Administrator’s obligations under this Agreement, the Administrator shall be entitled to receive $2,500 annually, which shall be solely an obligation of the Servicer; provided, however, notwithstanding the foregoing, such compensation shall in no event exceed the Servicing Fee for the related annual period. The Administrator shall pay all expenses incurred by it in connection with its activities hereunder.

All such invoices shall be in sufficient detail to permit Customer and it auditors to determine the services and expenses for which compensation or reimbursement is sought. All amounts that remain unpaid after thirty (30) days from the payment due date shall bear interest beginning on the payment due date until paid at the lesser of 18% per annum or the highest rate permitted by applicable law. The fees for services performed during a given week will be invoiced and shall be paid when presented on the Monday (or next succeeding business day if such Monday is a non-business day) of the following week. Late payments by Client shall be subject to late penalty fees of 1.5% per month from the due date until the amount is paid. Time traveling will not be charged. Client shall also pay Consultant for all costs and expenses incurred in connection with the services provided pursuant to this Agreement.
