Ownership and Possession of Loan Files. With respect to each Loan, as of the related Transfer Date the ownership of the related Promissory Note, the related Mortgage and the contents of the related Servicer's Loan File and Custodial Loan File shall be vested in the Trust for the benefit of the Securityholders, although possession of the Servicer's Loan File on behalf of and for the benefit of the Securityholders shall remain with the Servicer, and the Custodian shall take possession of the Custodial Loan Files as contemplated in Section 2.05 hereof.
Ownership and Possession of Loan Files. With respect to each Loan, as of the related Transfer Date, the ownership of the related Obligor Loan Documents shall be vested in the Borrower as part of the Collateral to secure the Obligations, and a security interest in the related Obligor Loan Documents shall be granted and pledged to the Agent pursuant to the Loan Agreement, and the Collateral Custodian shall take possession of the Loan Files as contemplated in Section 2.04 hereof.
Ownership and Possession of Loan Files. With respect to each Loan, as of the related Transfer Date the ownership of the related Promissory Note, the related Mortgage or Security Agreement and the contents of the related Servicer's Loan File and Indenture Trustee's Loan File shall be vested in the Issuer and pledged to the Indenture Trustee for the benefit of the Securityholders, although possession of the Servicer's Loan File (other than items required to be maintained in the Indenture Trustee's Loan Files) on behalf of and for the benefit of the Securityholders shall remain with the Servicer, and the Custodian shall take possession of the Indenture Trustee's Loan Files as contemplated in SECTION 2.05 hereof.

The ownership of the contents of the Loan Files with respect to each Conveyed Asset shall be vested in the Issuing Entity and pledged to the Indenture Trustee for the benefit of the Noteholders, as of the Closing Date, although possession of the Loan Files on behalf of and for the benefit of the Noteholders shall remain with the Custodian.

With respect to each Loan, as of the related Transfer Date the ownership of the related Required Loan Documents and the contents of the related Servicer’s Loan File and Custodial Loan File shall be vested in the Issuer as part of the Collateral for the benefit of the Securityholders, and with respect to each Eligible Loan, as of the related Transfer Date, the related Required Loan Documents and the contents of the related Servicer’s Loan File and Custodial Loan File shall be Granted (as defined in the Indenture) and pledged to the Indenture Trustee on behalf of the Securityholders, and the Collateral Custodian shall take possession of the Custodial Loan Files as contemplated in Section 2.05 hereof.

With respect to each Loan, as of the related Transfer Date the ownership of the related Underlying Note, the related Required Loan Documents and the contents of the related Servicer’s Loan File and Custodial Loan File shall be vested in the Issuer as part of the Collateral for the benefit of the Securityholders, and with respect to each Eligible Loan, as of the related Transfer Date, the related Underlying Note, the related Required Loan Documents and the contents of the related Servicer’s Loan File and Custodial Loan File shall be Granted (as defined in the Indenture) and pledged to the Indenture Trustee on behalf of the Securityholders, and the Collateral Custodian shall take possession of the Custodial Loan Files as contemplated in Section 2.05 hereof.
