Opinion of United States Counsel for the Underwriters. The Representatives shall have received from Xxxxxxxx & Xxxxx International LLP, United States counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.
Opinion of United States Counsel for the Underwriters. On each of the First Closing Date and each Option Closing Date the Representatives shall have received the opinion of Xxxxxxxxx & Xxxxxxx LLP, United States counsel for the Underwriters in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the Underwriters, dated as of such date.
Opinion of United States Counsel for the Underwriters. The favorable opinion of Xxxxxx & Whitney LLP, United States counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(e) hereof.
Opinion of United States Counsel for the Underwriters. At Closing Time, the Representatives shall have received the favorable opinion, dated as of Closing Time, of Dxxxx Xxxx & Wxxxxxxx LLP, counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters with respect to such matters as the Representatives may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters. In giving such opinion such counsel may rely, as to all matters governed by the laws of jurisdictions other than the law of the State of New York and the federal law of the United States, upon the opinions of counsel satisfactory to the Representatives. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Company and its Controlled Entities and certificates of public officials.
Opinion of United States Counsel for the Underwriters. The Underwriters shall have received from Kxxxxxxx & Exxxx, United States counsel for the Underwriters, an opinion and a negative assurance letter, dated such Closing Date, with respect to such matters as the Underwriters may require, and the Group Companies shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters. In rendering such opinion, Kxxxxxxx & Exxxx may rely as to the incorporation of the Company and all other matters governed by Cayman Islands and PRC law upon the opinions of Mxxxxx and Calder (Hong Kong) LLP and DaHui Lawyers referred to above.
Opinion of United States Counsel for the Underwriters. The Representatives shall have received an opinion and a Rule 10b-5 disclosure letter from Xxxxx Xxxx & Xxxxxxxx LLP, United States counsel for the Underwriters, dated such Closing Date, with respect to such matters as the Representatives may reasonably require, and the Company and the Selling Shareholders shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters. In giving such opinion such counsel may rely, as to all matters governed by the laws of jurisdictions other than the law of the State of New York and the federal law of the United States, upon the opinions of counsel satisfactory to the Representatives.
Opinion of United States Counsel for the Underwriters. The favorable opinion of Skadden, Arps, Slate, Mxxxxxx & Fxxx LLP, United States counsel for the Underwriters, dated such Date of Delivery, relating to the Over-Allotment Shares to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 6(i) hereof.
