Opinion of IP Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion of Xxxxx & Xxxxxxxxxx, counsel for the Company with respect to intellectual property, dated as of such date, in form and substance reasonably satisfactory to the Underwriters.
Opinion of IP Counsel for the Company. Xxxxxxx Procter LLP, IP counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.
Opinion of IP Counsel for the Company. The Representatives shall have received an opinion, dated such Closing Date, of XxXxxxx Xxxx PLLC, special intellectual property counsel for the Company, in substantially the form attached hereto as Exhibit B.
Opinion of IP Counsel for the Company. The Placement Agent shall have received on each Closing Date the favorable opinion of the Company’s intellectual property counsel, dated as of such Closing Date addressed to the Placement Agent and in form and substance satisfactory to the Placement Agent.
Opinion of IP Counsel for the Company. (i) Blank Rome, (ii) Fenwick & West, (iii) Vossius & Partner (iv) Lando & Xxxxxxxx, Intellectual Property Counsel for the Company, and (v) Xxxxxx Xxxxxxx, Vice President of the Company’s Intellectual Property Department, shall each have furnished to the Representatives, at the request of the Company, their written opinion dated the Closing Date, or the Additional Closing Date, as the case may be, to the effect set forth on Exhibits B, C, D, E and F, respectively.
Opinion of IP Counsel for the Company. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Xxxxx Lord LLP, intellectual property counsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriters.
Opinion of IP Counsel for the Company. Xxxxxxx Xxxxxxxxxx & Partner Patentanwälte, intellectual property counsel for the Company, shall have furnished to the Representative, at the request of the Company, their written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative and previously agreed upon with the Representative.
Opinion of IP Counsel for the Company. On the Closing Date, the Placement Agents shall have received the favorable opinion of Xxxxxxx Coie LLP, special intellectual property counsel for the Company, dated as of such Closing Date, the form of which is attached as Exhibit C.
Opinion of IP Counsel for the Company. Mxxxxxxx & Fxxxxxxx LLP, IP counsel for the Company, shall have furnished to you such written opinion or opinions (a form of such opinion is attached as Annex II(d) hereto) dated such Time of Delivery, in form and substance satisfactory to you and with respect to such matters as you may reasonably request relating to the Company’s intellectual property rights;
Opinion of IP Counsel for the Company. Dechert LLP, intellectual property counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex E-1 hereto.
