Common use of Opinion of IP Counsel for the Company Clause in Contracts

Opinion of IP Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion of Xxxxx & Xxxxxxxxxx, counsel for the Company with respect to intellectual property, dated as of such date, in form and substance reasonably satisfactory to the Underwriters.

Opinion of IP Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion of Xxxxx & XxxxxxxxxxXxxxxxxxx Xxxxxxx LLP, counsel for the Company with respect to intellectual property, dated as of such date, in form and substance reasonably satisfactory to the Underwriters.

On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion of (i) Pxxxx Xxxxx Zedek Lxxxxx Bxxxxx LLP and (ii) Mxxxxx, Xxxxx & XxxxxxxxxxBockius LLP, counsel for the Company with respect to intellectual property, in form and substance satisfactory to the Underwriters, dated as of such date, in form and substance reasonably satisfactory to the Underwriters.

On each of the First Closing Date and each Option Closing Date, the Representatives Representative shall have received the opinion of Pxxxx Xxxxx & XxxxxxxxxxZedek Lxxxxx, LLP, special patent counsel for the Company with respect to intellectual property, dated as of such date, in the form attached hereto as Exhibit B and substance to such further effect as the Representative shall reasonably satisfactory to request, with executed copies for each of the Underwritersother Underwriters named on the Prospectus cover page.
