Opinion of IP Counsel for the Company. Xxxxxxx Procter LLP, IP counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.

Opinion of IP Counsel for the Company. Xxxxxxx Procter Xxxxxx LLP, IP counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.

Opinion of IP Counsel for the Company. Each of Xxxxxxx Procter LLP and Xxxxxx Xxxx & Xxxxxxx LLP, IP intellectual property counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinionopinion and 10b-5 statement, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.

Opinion of IP Counsel for the Company. Xxxxxxx Procter Xxxxx+Xxxxxx LLP, IP counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.

Opinion of IP Counsel for the Company. Xxxxxxx Procter LLP, IP counsel for the CompanyCompany with respect to intellectual property matters, shall have furnished to the RepresentativesRepresentative, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the RepresentativesRepresentative.

Each of Dechert LLP and Xxxxxxx Procter LLP, IP intellectual property counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex E-1 and Annex E-2 hereto, respectively.

Xxxxxxx Procter Procter, LLP, special IP counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, substantially in the form set forth in Annex A-2 hereto.
