Common use of Opinion of IP Counsel for the Company Clause in Contracts

Opinion of IP Counsel for the Company. (i) Blank Rome, (ii) Fenwick & West, (iii) Vossius & Partner (iv) Lando & Xxxxxxxx, Intellectual Property Counsel for the Company, and (v) Xxxxxx Xxxxxxx, Vice President of the Company’s Intellectual Property Department, shall each have furnished to the Representatives, at the request of the Company, their written opinion dated the Closing Date, or the Additional Closing Date, as the case may be, to the effect set forth on Exhibits B, C, D, E and F, respectively.
