Opinion of Counsel for the Trust. The opinion of Xxxxxxxx Xxxxxx & Finger, or, subsequent to the Initial Settlement Date, Company Approved Counsel, to the effect set forth in Exhibit B hereto;
Opinion of Counsel for the Trust. The opinion of Richards, Layton & Finger P.A. or other external counsel reasonaxxx xxxxxxxxxxxx xx the Agent(s) (or the bookrunning lead manager(s), in the case of a syndicated issue), as counsel for the Trust, to the effect set forth in Exhibit J hereto and to such further effect as the Agent(s) may reasonably request;
Opinion of Counsel for the Trust. At the Closing Time, the Underwriters shall have received the favorable opinion, dated as of the Closing Time, of Morris, Nichols, Arsht & Xxxxxxx LLP, counsel to the Trust, substantially in the form attached as Exhibit B with such additional qualifications and exceptions as shall be acceptable to the Underwriters and their counsel.
Opinion of Counsel for the Trust. Beneficial Owner. The opinion of Xxxxxxxx, Xxxxx & Xxxxxxx, a Professional Corporation, counsel for the Trust Beneficial Owner, to the effect set forth in Exhibit L hereto.
Opinion of Counsel for the Trust. The favorable opinion of Morris, Nichols, Arsht & Xxxxxxx LLP, counsel to the Trust, dated such Date of Delivery, relating to the Option Trust Preferred Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(d) hereof.
Opinion of Counsel for the Trust. The opinion of Xxxxxxxx, Xxxxxx & Finger P.A. or other external counsel reasonably satisfactory to the Agent(s) (or the bookrunning lead manager(s), in the case of a syndicated issue), as counsel for the Trust, to the effect set forth in EXHIBIT J hereto and to such further effect as the Agent(s) may reasonably request;
Opinion of Counsel for the Trust. The opinion of Xxxxxxxx Xxxxxx & Finger, or other external counsel reasonably satisfactory to the Dealer(s) (which shall be the bookrunning lead manager(s) in the case of a syndicated issue), or, subsequent to the Initial Settlement Date, Company Approved Counsel, to the effect set forth in Exhibit B hereto;
Opinion of Counsel for the Trust. On the date of this Agreement, the Agents and the Forward Purchasers shall have received the favorable written opinion or opinions of Norton Xxxx Xxxxxxxxx US LLP, counsel for the Trust, dated such date, to the effect set forth in Exhibit A-1 and Exhibit A-2 hereto.
Opinion of Counsel for the Trust. At the Closing Date, the Representatives shall have received the favorable opinion, dated as of the Closing Date, of Dechert LLP, counsel for the Trust (“Trust Counsel”), in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriters may reasonably request. The opinion of Trust Counsel shall state that [UNDERWRITERS COUNSEL], counsel for the Underwriters, may rely on such opinion as to matters of Massachusetts law for the purposes of rendering its opinion referenced in Section 5(c).
Opinion of Counsel for the Trust. At Closing Time, the Underwriters shall have received the favorable opinion, dated as of Closing Time, of Browx & Xood xxx, counsel for the Trust, in form and substance reasonably satisfactory to the Underwriters, to the effect set forth in Exhibit A hereto. In giving such opinion such counsel may rely, as to all matters governed by the laws of jurisdictions other than the law of the State of New York and the federal law of the United States, upon the opinions of counsel satisfactory to the Underwriters. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of the Trustees and certificates of public officials.
