Syndicated Issue definition

Syndicated Issue means an issue of Notes pursuant to Clause 2.2 of the Dealer Agreement

  • Each Dealer agrees to notify the Issuing and Paying Agent or, in the case of a Syndicated Issue, the Lead Manager when it has completed the distribution of its portion of the Instruments of any identifiable tranche so that the Issuing and Paying Agent or, in the case of a Syndicated Issue, the Lead Manager may determine the completion of the distribution of all Instruments of that tranche and notify the other Relevant Dealers of the end of the restricted period.

  • The Procedures Memorandum may be changed in respect of any Relevant Dealer (or, in the case of a Syndicated Issue, the Lead Manager(s)) by agreement in writing between the Issuer, the Trustee and such Dealer (or, in the case of a Syndicated Issue, the Lead Manager(s)) following consultation with the Issuing and Paying Agent.

  • The parties agree that all issues of Notes shall be made in accordance with the Procedures Memorandum unless the Issuer, the Trustee, the Relevant Dealer(s) (or, in the case of a Syndicated Issue, the Lead Manager(s)) and the Issuing and Paying Agent agree otherwise in respect of any issue.


More Definitions of Syndicated Issue

Syndicated Issue means an issue of Notes offered on a syndicated basis pursuant to a Syndication Agreement.
