Common use of Opinion of Counsel for the Trust Clause in Contracts

Opinion of Counsel for the Trust. At the Closing Time, the Underwriters shall have received the favorable opinion, dated as of the Closing Time, of Morris, Nichols, Arsht & Xxxxxxx LLP, counsel to the Trust, substantially in the form attached as Exhibit B with such additional qualifications and exceptions as shall be acceptable to the Underwriters and their counsel.

Opinion of Counsel for the Trust. At the Closing Time, the Underwriters shall have received the favorable opinion, dated as of the Closing Time, of MorrisSkadden, NicholsArps, Arsht Slate, Xxxxxxx & Xxxxxxx LLPXxxx (Delaware), special counsel to the Trust, substantially together with signed or reproduced copies of such letter for each of the Underwriters to the effect set forth in the form attached as Exhibit B with hereto and to such additional qualifications and exceptions further effect as shall be acceptable counsel to the Underwriters and their counselmay reasonably request.
