OF THE MEMBERSHIPS. Without limiting what is established in this document, in order to the Company provide the Services object of this document, the User must select one of the modalities described further on (for the purposes of this Contract referred as “Memberships” or “Membership”), which must be established in the Application Form. The User should not have other Memberships and/or additional accounts other than the one registered with their information before the system of the Company, in the exception of purchasing for a Minor, acting as Guardian.

OF THE MEMBERSHIPS. Without prejudice to what is established in this document, in order for the Company to provide the Services that are the object of this instrument, the User must opt for one of the modalities described below (for the purposes of this Contract referred to jointly as the "Memberships" or individually referred to as the "Membership"), which must be established in the Application Form. The User may not have under their name other Memberships and/or additional accounts to the one that is recognized with their registration data before the Company's system, except when contracting for a Minor, in their capacity as Tutor.

  • The Member The Member is the owner of the Company. Pursuant to Section 00-00-000 of the Act, the Member is not entitled to compensation for services furnished to the Company in the Member’s simple capacity as a Member. An unauthorized transfer of the Member’s interest could create a substantial hardship for the Company. Consequently, the Member consents to the restrictions and procedures affecting the ownership and transfer of the Member’s interest as identified in Article VII. The Member acknowledges these restrictions are not intended to penalize, but rather are intended to protect and preserve the existing trust-based relationships, the Company’s capital, and the Company’s financial ability to continue its operations.

  • Powers of the Member The Member shall have full, exclusive and complete discretion to manage and control the business and affairs of the Company, to make all decisions affecting the business and affairs of the Company and to take all such actions as it deems necessary, appropriate or convenient to or for the furtherance of the purpose of the Company, including, without limitation, the power and authority to execute all documents and instruments, perform all duties and powers, and do all things on behalf of the Company in all matters necessary, desirable, convenient or incidental to the purpose of the Company. The Member is an agent of the Company’s business and the actions of the Member taken in such capacity and in accordance with this Agreement shall bind the Company. The Member shall be the sole Person with the power to bind the Company except and to the extent that such power is expressly delegated to any other Person by the Member in this Agreement or in writing or by oral communication, and such delegation shall not cause the Member to cease to be the Member.
