Obligation of Issuer. The obligations of the Issuer under Clause 6.1 are solely to make payments of amounts in aggregate equal to and in the same currency as each sum actually received by or for the account of the Issuer pursuant to the Loan Agreement in respect of principal, interest, Additional Amounts, any amounts payable under Clause 6.3 of the Loan Agreement or other amount, if any (less any amounts in respect of the Reserved Rights as aforesaid).

Obligation of Issuer. The Issuer hereby covenants with the Paying Agent that it will provide the Paying Agent with information available to the Issuer and reasonably sufficient to enable the Paying Agent to determine whether or not the Paying Agent is obliged, in respect of any payments to be made by it pursuant to the Transaction Documents, to make any withholding or deduction pursuant to an agreement described in Section 1471(b) of the US Internal Revenue Code of 1986 (the “Code”) or otherwise imposed pursuant to Sections 1471 through 1474 of the Code and any regulations, or agreements thereunder or official interpretations thereof or any intergovernmental agreement between the United States and another jurisdiction facilitating the implementation thereof (or any law implementing such an intergovernmental agreement) (“FATCA Withholding Tax”). The Paying Agent shall be entitled to deduct FATCA Withholding Tax, and shall have no obligation to gross-up any payment hereunder or to pay any additional amount as a result of such FATCA Withholding Tax.
Obligation of Issuer. ISSUER’S OBLIGATION TO MAKE PAYMENTS OF THE SPECIAL TAX TO THE HOLDERS OF THE TIF BONDS PURSUANT TO THIS MEMORANDUM SHALL NOT BE DEEMED TO BE A GENERAL OBLIGATION OF ISSUER AND SHALL BE PAYABLE SOLELY FROM PAYMENTS OF THE SPECIAL TAX RECEIVED BY ISSUER.

  • Dissolution of Issuer The Issuer shall wind up and dissolve upon the latest of (1) satisfaction and discharge of the Indenture, (2) the Optional Purchase of the Trust Estate pursuant to the Sale and Servicing Agreement or (3) the final distribution from the Collection Account established pursuant to Section 4.1(a)(i) of the Sale and Servicing Agreement. The bankruptcy, liquidation, dissolution, death or incapacity of a Certificateholder shall not (x) operate to terminate this Agreement or the Issuer, nor (y) entitle such Certificateholder’s legal representatives or heirs to claim an accounting or to take any action or proceeding in any court for a partition or winding up of all or any part of the Issuer or Trust Estate nor (z) otherwise affect the rights, obligations and liabilities of the parties hereto.

  • Resolution of Issues In the event issues pertaining to a proposed TO/DO solicitation cannot be resolved to the satisfaction of the CO, the CO reserves the right to withdraw and cancel the proposed TO/DO solicitation. In such event, the contractor shall be notified in writing of the CO's decision. This decision is final and conclusive and shall not be subject to the "Disputes" clause or the "Contract Disputes Act."

Except as aforesaid otherwise provided, this Indenture and the trusts created hereby shall continue in full force and effect in accordance with the terms hereof.
