NOW, THEREFORE, WITNESSETH. The parties hereby agree as follows:

NOW, THEREFORE, WITNESSETH. THAT IN CONSIDERATION OF the foregoing, the respective covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by each of the parties, the parties hereto agree as follows:

NOW, THEREFORE, WITNESSETH. That it is hereby agreed between the parties hereto that this Agreement be amended and restated as of February 8, 2013 pursuant to Section 9(b) hereof as follows:
