Notice of Satisfaction of Escrow Conditions. Upon the Company and Beacon on behalf of the Agents being satisfied that the Escrow Conditions applicable to the Offering have been satisfied (or waived in accordance with the terms of this Agreement) on or before the Release Deadline, the Company and Canada Iron shall deliver to the Subscription Receipt Agent a Release Notice in the form attached as Schedule “B” by email, facsimile or courier to the address of the Subscription Receipt Agent set out in Section 11.1 and, upon receipt of the Release Notice by the Subscription Receipt Agent, the Subscription receipt Agent will take the actions and comply with the requirements set forth in Section 6.3 and the Subscription Receipts issued in the Offering shall be converted pursuant to subsection 3.2(a). Prior to the delivery of the Release Notice, the Company and Canada Iron shall deliver to Beacon a certificate addressed to the Agents and executed by an officer from each of the Company and Canada Iron confirming that the Escrow Release Conditions have been satisfied (other than the delivery of the Release Notice).
