NON-SOLICITATION AND CONFIDENTIALITY AGREEMENT. As a condition of accepting this Restricted Stock Award and in consideration of the opportunity to receive shares of stock and dividend compensation, I, the undersigned Grantee, agree that for the duration of my employment with TCF Financial, TCF Bank or any of their affiliated companies (“TCF”) and for a period of 12 months after my termination of employment, I will not solicit or attempt to solicit any of the customers of TCF or solicit or attempt to hire any current employees of TCF for any other bank, financial services company, lending company, leasing company or other corporation, person or other entity providing the same or similar products or services as provided by TCF. I also agree that in the event of my termination of employment with TCF I will not remove any documents, customer information or other TCF proprietary materials from TCF premises, computers or otherwise without specific permission and will promptly return upon request any and all TCF-related documents, customer information or other TCF proprietary materials in my possession. I understand this is a binding contractual agreement which TCF may enforce in Court and/or seek damages from me if it is violated, even if the restricted shares awarded in this Agreement never become vested.
NON-SOLICITATION AND CONFIDENTIALITY AGREEMENT. The Executive hereby confirms and acknowledges that the Executive is subject to the provisions set forth in the Employee Non-Disclosure, Assignment, Non-Competition, and Non-Solicitation Agreement attached hereto as Exhibit B (the “Non-Disclosure Agreement”). The provisions of this Agreement shall apply where there is a conflict between this Agreement and the Non-Disclosure Agreement.
NON-SOLICITATION AND CONFIDENTIALITY AGREEMENT. Grantee acknowledges and agrees that Grantee’s position with the Corporation or any affiliated companies (collectively “TCF Companies”) provides Grantee with access to non-public, confidential information (“Confidential Information”) that is valuable to TCF Companies and/or would be valuable to competitors, including but not limited to, information regarding Customers of the TCF Companies. As a condition of accepting this Award and in consideration of the opportunity to receive TRSUs, Grantee and the Corporation agree as follows:
NON-SOLICITATION AND CONFIDENTIALITY AGREEMENT. I, the undersigned Grantee, acknowledge and agree that, because of my position with TCF Financial Corporation, TCF National Bank or any of their affiliated companies (“TCF”), TCF provided me with access to non-public, confidential TCF information (“Confidential Information”) that is valuable to TCF and/or would be valuable to TCF’s competitors, including but not limited to information regarding TCF’s current and prospective customers, referral sources, business partners, funding or business sources, brokers, investors, dealers, sponsors and/or other business contacts (collectively “Customers”). As a condition of accepting this Award and in consideration of the opportunity to receive shares of stock, I, the undersigned Grantee, agree:
NON-SOLICITATION AND CONFIDENTIALITY AGREEMENT. A non-solicitation and confidentiality agreement, in the form attached hereto as Exhibit B (“Non-Solicitation and Confidentiality Agreement”), shall be executed by the Persons listed on Exhibit B-1 hereto.
NON-SOLICITATION AND CONFIDENTIALITY AGREEMENT. The Seller shall deliver to the Purchaser a copy of the Non-Solicitation and Confidentiality Agreement duly executed by Xxxxx Xxxxx Fund XIII, L.P., Xxxxx Xxxxx Fund XIII-A, L.P., Xxxxx Xxxxx Executive Fund XIII, L.P. and Xxxxx Xxxxx, L.P. and the Purchaser shall deliver to the Seller a duly executed counterpart signature page to such Non-Solicitation and Confidentiality Agreement.
NON-SOLICITATION AND CONFIDENTIALITY AGREEMENT. This NON-SOLICITATION AND CONFIDENTIALITY AGREEMENT (this “Agreement”), dated as of May 22, 2014, by and among FNB Bancorp, a California corporation (“FNB”), First National Bank of Northern California, a national banking association and wholly-owned subsidiary of FNB (“FNBNC”), and the undersigned executive officer or director (“Representative”) of Valley Community Bank, a California banking corporation (“VCB”).
NON-SOLICITATION AND CONFIDENTIALITY AGREEMENT. TFC and the Bank have delivered to RBB Bancorp and RBB Non-Solicitation and Confidentiality Agreements, substantially in the form of Exhibit B hereto, executed by each of the Persons identified on Exhibit B-1 hereto.
