No Suits or Proceedings. There are no material actions, suits or proceedings pending or, to the knowledge of Assignor, threatened against or affecting the Collateral, or involving the validity or enforceability of this Assignment or the priority of the lien thereof, at law or in equity, or before any governmental or administrative agency.
No Suits or Proceedings. There are no suits, claims, or proceedings pending, or, to its Knowledge, threatened against it or any of its Affiliates in any court or by or before any governmental body or agency which to its Knowledge would have a material adverse effect on its ability to perform its obligations under this Agreement.

There are no actions, suits, proceedings or investigations pending against each FM Shareholder or such FM Shareholder’s properties before any court or governmental agency (nor, to such FM Shareholder’s knowledge, is there any threat thereof) which would impair in any way such FM Shareholder’s ability to enter into and fully perform such FM Shareholders’s commitments and obligations under this Agreement or the transactions contemplated hereby.

There are no actions, suits or proceedings, and no proceedings before any arbitrator or by or before any governmental commission , board, bureau or other administrative agency, pending, or, to the best knowledge of the Contractor, threatened against or affecting the Contractor, or any properties or rights of the Contractor, which, if adversely determined, could materially impair the right of the Contractor to carry on business substantially as now conducted or could have a materially adverse effect upon the financial condition of the Contractor.
No Suits or Proceedings. Except as provided on SCHEDULE 6.9 attached hereto there are no judgments, liens, suits or proceedings pending or, to Seller's or T3's knowledge, threatened against Seller affecting the Business or Assets in any court or before or by any federal, state or other governmental department or agency.
No Suits or Proceedings. Xxxx agrees not to file any suit or institute any other type of proceeding against the Released Parties in any local, state or federal court or agency under these or any other laws or applicable regulations, arising out of or relating in any way to Xxxx’x employment with, previous work for, or separation from CPNO or any of the Released Parties.

As of the date of the disbursement, no suit or proceeding at law or in equity, and no investigation or proceeding of any governmental body, shall have been instituted or, to the knowledge of Borrower, shall have been threatened, which in either case would substantially, negatively affect the condition or business operations of Borrower or the Project.
No Suits or Proceedings. There are no suits or proceedings pending or, to the knowledge of Tenant (except as Tenant has disclosed in writing to Landlord), threatened in court or before any commission, board or other administrative agency against or affecting Tenant, which will have a Material Adverse Effect.
No Suits or Proceedings. There are no suits or proceedings, legal or equitable, pending or threatened: (1) against or that affect the Borrower, any of the Guarantors, the Site or the Improvements; (2) that involve the validity or enforceability of any of the Loan Documents; or (3) that involve any risk of a judgment or liability which, if satisfied, would have a materially adverse effect on (a) the financial condition, business or properties of the Borrower or any Guarantor, (b) the priority of the lien of the Mortgage or (c) the contemplated use of the Project.
