No Set-off Rights. The Company's obligations to make the payments and provide the benefits required by this Agreement and otherwise to perform its obligations hereunder shall not be affected by any set-off, counterclaim, re-coupment, defense or other claim, right or action that the Company may have against Employee or others.
No Set-off Rights. The parties hereby agree that neither party shall have any right to set-off or apply against any sums due under this Agreement any sums due or amounts otherwise owing pursuant to any other provision of this Agreement or any other agreement or arrangement between the parties.
No Set-off Rights. Subject to the foregoing Recipient shall pay the full amount of the Service Charges and shall not set-off, counterclaim or otherwise withhold any amount owed to Provider under this Agreement on account of any obligation owed by Provider to Recipient.

No Set-off Rights. 16.9.1 This Agreement does not confer upon either Party any right to set-off any amounts payable against obligations occurring under different purchase orders, except to the limited extent of late deliveries as provided under Clause 4.5 hereinabove.

Notwithstanding anything to the contrary in this Agreement, in no event shall any party who is entitled to indemnification under this Article 11 (or who is asserting rights to indemnification under this Article 11) have the right to set off amounts owed (or asserted to be owed) to such party under this Article 11 against any payment obligation that such party may have to the party from whom indemnification is sought, and any and all such set off rights that may exist under common law, by statute or otherwise are hereby unconditionally waived.
No Set-off Rights. No Purchaser Indemnified Party or Seller Indemnified Party shall have any right to set-off any amounts determined to be owing, or that may be owed, under this Agreement (including pursuant to Article VIII or this Article XI) against any amount payable by any such Person or any of its Affiliates pursuant to this Agreement or any Transaction Agreement, including the Subordinated Note.
No Set-off Rights. Neither Party nor their respective Affiliates shall have any set off or any other similar rights with respect to (i) any of the funds received by such Party pursuant to this Agreement or (ii) any other amounts claimed to be owed to the other Party or its Affiliates arising out of this Agreement or any other agreement.
No Set-off Rights. Neither the Buyer nor the Seller shall have the rights to set-off any claims arising from this Agreement.
