No Conflicting Obligation. I represent that my performance of all the terms of this Agreement and as an employee of the Company does not and will not breach any agreement to keep in confidence information acquired by me in confidence or in trust prior to my employment by the Company. I have not entered into, and I agree I will not enter into, any agreement either written or oral in conflict herewith.
No Conflicting Obligation. Employee represents and agrees that his or her performance of the provisions of this Agreement does not, and will not, breach any agreement to keep in confidence information acquired by Employee in confidence or in trust prior to his or her employment by the Company. Employee agrees not to enter into any agreement, either written or oral, in conflict herewith.
No Conflicting Obligation. Director represents that his performance of all the terms of this Agreement and as a Director to the Corporation does not and will not breach any agreement to keep information acquired by Director prior to the Service Period in confidence or trust. Director has not entered into, and agrees he will not enter into, any agreement either written or oral in conflict herewith.
No Conflicting Obligation. 6.1 Consultant represents that Consultant’s performance of all of the terms of this Agreement and the performing of the Services for Company do not and will not breach or conflict with any agreement with a third party, including an agreement to keep in confidence any confidential information of another entity acquired by Consultant in confidence or in trust prior to the date of this Agreement.
No Conflicting Obligation. Executive represents that its performance of all the terms of this Agreement and as an employee or consultant of Company does not and will not breach any agreement between it and any other employer, person or entity. Executive has not entered into, and it agrees it will not enter into, any agreement either written or oral in conflict herewith. Executive shall, during the term of its employment or engagement, diligently promote the interests of Company. Executive shall serve Company to the best of its ability, faithfully, honestly, diligently and efficiently.
No Conflicting Obligation. I represent that my performance of all the terms of this Agreement and as an employee of the Company does not and will not breach any agreement between me and any other employer, person or entity. I have not entered into, and I agree I will not enter into, any agreement either written or oral in conflict herewith.
No Conflicting Obligation. 8.1. ADVISOR REPRESENTS THAT ADVISOR’S PERFORMANCE OF ALL OF THE TERMS OF THIS AGREEMENT AND THE PERFORMING OF THE SERVICES FOR THE COMPANY DO NOT AND WILL NOT BREACH OR CONFLICT WITH ANY AGREEMENT WITH A THIRD PARTY, EXCEPT AS CONTEMPLATED BY SECTION 4.1, INCLUDING AN AGREEMENT TO KEEP IN CONFIDENCE ANY PROPRIETARY INFORMATION OF ANOTHER ENTITY ACQUIRED BY ADVISOR IN CONFIDENCE OR IN TRUST PRIOR TO THE DATE OF THIS AGREEMENT.
No Conflicting Obligation. 7.1 Advisor represents that Advisor's performance of all of the terms of this Agreement and the performance of Services for the Company do not and will not breach or conflict with any agreement with any third party, including an agreement to keep in confidence any proprietary information of another entity acquired by Advisor in confidence or in trust prior to the date of this Agreement.
No Conflicting Obligation. The Consultant hereby represents that he is free to enter into this Agreement and that his performance of all of the terms of this Agreement and of all of his duties as a consultant to the Company do not and will not breach (i) any agreement to keep in confidence information acquired by the Consultant in confidence or in trust, (ii) any agreement to assign to any third party inventions made by the Consultant, or (iii) any agreement not to compete against the business of any third party. Consultant further represents that he has not made and will not make any agreements in conflict with this Agreement.
No Conflicting Obligation. Shareholder represents and warrants ------------------------- that the terms of this Agreement do not and will not breach any agreement or other obligation to keep any information acquired by Shareholder in confidence or in trust. Shareholder further represents and warrants that he has not entered into, and agrees that he will not enter into, any agreement or other obligation (written or oral) that is in conflict with this Agreement.
