Net Revenue Covenant. Borrower shall, at all times after the Term B Loan Advance and/or Term C Loan Advance is made, maintain aggregate net revenue, on a trailing six-month basis, determined in accordance with GAAP, of greater than or equal to seventy-five percent (75.0%) of Borrower’s Manager-approved financial projections, to be tested on the last day of each fiscal quarter of Borrower (which projections may be revised annually or from time to time and are approved by Agent in writing in its reasonable discretion).

Net Revenue Covenant. During Stage 1, the District shall fix, prescribe, revise and collect rates, fees and charges for the services and facilities furnished by the Water Enterprise during each Fiscal Year which are sufficient to yield Net Revenues of the Water Enterprise which are at least equal to 125% of the amount of Debt Service calculated for such Fiscal Year with respect to the Water Enterprise. For purposes of this subsection (b), the amount of Net Revenues for a Fiscal Year will be computed by including in Gross Revenues all amounts transferred from the Rate Stabilization Fund during the Fiscal Year. The District shall fix, prescribe, revise and collect rates, fees and charges for the services and facilities furnished by the Wastewater Enterprise during each Fiscal Year which are sufficient to yield Net Revenues of the Wastewater Enterprise which are at least equal to 125% of the amount of Debt Service calculated for such Fiscal Year with respect to the Wastewater Enterprise. For purposes of this subsection (b), the amount of Net Revenues for a Fiscal Year will be computed by including in Gross Revenues all amounts transferred from the Rate Stabilization Fund during the Fiscal Year. In the event that the actual collection of Net Revenues based on such rates, fees and charges is insufficient to yield Net Revenues which meet the requirements of this subsection (b), such event shall not constitute an Event of Default unless it has continued uncured for a period of at least 12 months.
Net Revenue Covenant. In addition, the District covenants to fix, prescribe, revise and collect rates, fees and charges for the services and facilities furnished by the Wastewater System during each Fiscal Year which are sufficient to yield Net Revenues which are at least equal to 120% of the amount described in the preceding clause (a)(ii) above, for such Fiscal Year. For purposes of this clause (b), the amount of Net Revenues for a Fiscal Year will be computed on the basis that the District’s unencumbered fund balance at the end of the applicable Fiscal Year is included as “Gross Revenues” in the calculation of Net Revenues. Notwithstanding the foregoing provisions, in the event that the actual collection of Net Revenues based on such rates, fees and charges is insufficient to yield Net Revenues which meet the requirements of this subsection, such event shall not constitute an Event of Default unless it has continued uncured for a period of at least 12 months.
