MISCELLANEOUS PROVISIONS Binding effect. This Agreement and all of the provisions hereof shall be binding upon and shall inure to the benefit of the Parties hereto and their respective successors and permitted assigns. Amendment. This Agreement may be amended only in writing duly executed by the author- ised representatives of the Parties hereto, which makes specific reference to this Agreement. The same applies to any provision by which the written form obligation is contracted out. Notices. All notices, requests, demands, con- sents, authorisations, claims, and other communica- tions (each a "Notice") hereunder must be in writing by an authorized representative of the sender and shall be deemed to have been duly given : (i) when hand-deliv- ered to the addressee; (ii) when transmitted by con- firmed e-mail with a duly signed scan of the Notice at- tached; (iii) one (1) business day after being given to an overnight courier with a reliable system for tracking delivery; or (iv) three (3) business days after the day of mailing, when mailed by registered or certified mail, return receipt requested, postage prepaid. Notices to AvePoint shall be sent to the address set forth in the preamble, Attn: General Counsel; or, if sent by con- firmed e-mail, to xxxxx@xxxxxxxx.xxx. Unless other- wise specified by Customer in writing, Notices to Cus- tomer shall be sent to the Customer’s e-mail address provided in the Order or, if no such e-mail address has been provided, to the registered agent of the Cus- tomer in the jurisdiction in which the Customer is or- ganised or incorporated. Any Party may change the address to which Notices are to be delivered by giving the other Party Notice in the manner herein set forth. 12.
MISCELLANEOUS PROVISIONS Binding effect. The terms and provisions hereof shall be binding upon and inure to the benefit of the heirs, representative, successors and assigns of the parties hereto and shall be binding upon all future owners of all or any part of the Subdivision. References herein to the Developer, if there be more than one, shall mean each and all of them. This Agreement shall be placed of record so as to give notice hereof to subsequent purchasers and encumbrances of all or any part of the Subdivisions and all recording fees shall be paid by the Developer.

  • Assignability; Binding Effect This Agreement shall be binding upon and inure to the benefit of the Parties and their successors and permitted assigns; provided, however, that the rights and obligations of each Party under this Agreement shall not be assignable, in whole or in part, directly or indirectly, whether by operation of law or otherwise, by such Party without the prior written consent of the other Party (such consent not to be unreasonably withheld, conditioned or delayed) and any attempt to assign any rights or obligations under this Agreement without such consent shall be null and void.
