Common use of Meetings of Committees Clause in Contracts

Meetings of Committees. Regular meetings of any Committee may be held without notice at such time and at such place, within or outside the State of Delaware, as from time to time shall be determined by such Committee. The Chairman of the Board, the Board or the Committee by vote at a meeting, or by two members of any Committee in writing without a meeting, may call a special meeting of any such Committee by giving notice to each member of the Committee in the manner provided for in Section 3.06(f) hereof. Unless otherwise provided in the Certificate, these By-Laws or by applicable law, neither business to be transacted at, nor the purpose of, any regular or special meeting of any such Committee need be specified in the notice or any waiver of notice.

The Chairman of the Board, the Board or the Committee committee by vote at a meeting, or by two members of any Committee committee in writing without a meeting, may call a special meeting of any such Committee at any time by giving each such committee member at least two days notice to each member of the Committee date, time and place of the meeting. Such notice may be given orally or in the manner provided for writing in accordance with Section 3.06(f2.03(f) hereof. Unless otherwise provided in the Certificate, these By-Laws laws or by applicable law, neither business to be transacted at, nor the purpose of, any regular or special meeting of any such Committee committee need be specified in the notice or any waiver of notice.
