Long-Term Care Plan. The Partnership shall, until the Independence Date, continue to be a Participating Company in the Cadence Long Term Care Plan with any and all costs and expenses associated with its participation in the Cadence Long Term Care Plan from and after the date hereof subject to Section 8.1. The Tality Transferred Employees participating in the Cadence Long-Term Care Plan shall have the rights to take their existing benefits with them under such Cadence Long-Term Care Plan (a "portable benefit") at the time their rights to participation would otherwise terminate.

Long-Term Care Plan. The CESI Employees participating in the ------------------- Catalytica Long-Term Care Plan shall have the right to convert their existing coverage to an individual policy under the Catalytica Long-Term Care Plan (a "portable benefit") at the time their rights to participate in the group coverage terminates in accordance with and to the extent, if any, provided by the terms of such plan.
