Limitation on Annual Adjustments for Itron SaaS. With respect to Itron SaaS, annual adjustments to the Subscription Fee are limited as follows: (i) no adjustment shall be applied during the initial two (2) years of the Minimum Subscription Term and (ii) upon the third (3rd) anniversary of the Commencement Date set forth in the Hybrid SaaS and Software-as-a- Service Addendum and for each annual Subscription Term thereafter through the end of the Pricing Period, the Subscription Fee shall increase by three percent (3%) over the prior year’s Subscription Fee. The Parties agree that a minimum fee of at least one thousand dollars ($1,000) per month will be charged to Customer for Itron SaaS. Annual pricing periods will commence on February 1 of each calendar year. Year one (1) will be pro-rated to align with the pricing schedule identified herein.

  • Annual Adjustments Base Rent shall be increased on each annual anniversary of the first day of the first full month during the Term of this Lease (each an “Adjustment Date”) by multiplying the Base Rent payable immediately before such Adjustment Date by the Rent Adjustment Percentage and adding the resulting amount to the Base Rent payable immediately before such Adjustment Date. Base Rent, as so adjusted, shall thereafter be due as provided herein. Base Rent adjustments for any fractional calendar month shall be prorated.

  • Annual Adjustment At the end of each Fiscal Year and following receipt by Manager of the annual accounting referred to in Article 10, an adjustment will be made to such annual account, if necessary and if available, so that the appropriate amount shall have been deposited in the Reserve.
